Corporate and M&A: With the benefit of extensive experience acting on domestic and cross-border corporate matters for major businesses in a wide range of industries, including some of the most significant transactions in the market, we advise on market entry and exit; corporate structuring and restructuring; joint ventures; domestic and cross-border M&As; foreign investment structuring and documentation; sales, procurement, agency and distribution arrangements; regulatory and licensing matters and legal due diligence.
Contentious matters: We have a successful record of representing foreign clients in complex contentious matters involving Iran. Our capabilities in disputes include pre-proceeding matters (dispute settlement mechanisms; court procedure; choice of forum and arbitration; pre-proceeding interim measures and injunctions and settlement negotiations), litigation (acting as counsel before Iranian courts in civil and criminal matters; preparing statements of claim, defence and counterclaim; obtaining recognition and enforcement of foreign judgments and arbitral awards and serving as Iranian law experts in foreign litigation) and arbitration (acting as counsel or co-counsel in arbitration proceedings and as local law experts in proceedings abroad).
Intellectual property: We advise clients on the full spectrum of their contentious and non-contentious IP matters including trademark, industrial design and patent search, analysis and registration; renewal applications; identification of infringing marks and designs, counterfeit products and other infringing acts and development of enforcement strategies; representation in cancellation, opposition and infringement proceedings; commercialisation of IP assets (licensing, franchising and distributorship arrangements); negotiation and documentation of IP arrangements in joint ventures and M&As and protection of other types of IP rights (such as software, domain names, databases, trade secrets and confidential information).
Finance: We have extensive high-level international experience in cross-border finance and capital market matters, and can advise on basic to advanced debt and equity issuances, fund matters, general lending and banking, and financial regulation.
Projects: With experience of some of the major projects in Iran in recent years, the firm advises on concessions, IPCs, EPC agreements, off-takes, regulatory and licensing matters, local content and public procurement issues on projects including airports, conventional and renewable power plants, oil and gas, mining, road and rail, and water treatment facilities.
