Luci Hague is a partner in Kirkland & Ellis LLP’s International Trade and National Security Practice Group in the Washington, D.C., office. Luci advises investors and companies on complex cross-border transactional and counseling matters involving U.S. national security, with a focus on CFIUS reviews as well as OFAC sanctions matters and U.S. export controls. She is widely recognized for her significant experience in advising private equity sponsors, asset managers, and operating companies on addressing CFIUS considerations and risks across matter contexts and transaction types, including fund formation and design, transaction structuring, co-investments, joint ventures, and exits. Her experience includes securing CFIUS clearance for buy- and sell-side clients, including co-investors, in a range of industries including biotech, defense, real estate, logistics, infrastructure, telecom, cybersecurity, semiconductors, and software, as well as negotiating complex mitigation agreements to address the U.S. government’s identified national security concerns in specific transactions, and advising on CFIUS non-notified, enforcement, and penalty matters.
