Czech Republic: Schoenherr advises BHS Private Equity Fund on acquisition of Altran CZ a.s.

Schoenherr advised BHS Private Equity Fund (“BHS PE Fund”), whose general partner is Versute Investments a.s., on the acquisition of Altran CZ a.s., renamed Tiyo a.s. (“Tiyo”), a leading provider of research, development and testing services, from Capgemini group.

Tiyo a.s. has been acquired by BHS PE Fund, Versute Investments a.s. and managers Petr Havlík, Jaromír Kejval and Milan Křovina.

BHS Private Equity Fund, whose general partner is Versute Investments a.s., is a sub-fund of BHS Fund II – Private Equity, a variable capital investment fund, and focuses on investments in small and medium-sized business in the Czech Republic and Slovakia.

Tiyo a.s., founded in 1993, is a leading provider of research, development and testing services for various industries. The company provides its services to more than 300 customers mainly in Europe and its annual sales exceed CZK 300m.

Schoenherr Czech Republic’s M&A team provided comprehensive transactional advice, including due diligence, deal structuring and negotiation of transaction documentation with the seller. It also drafted the shareholder agreement.
