Niederer Kraft Frey advised EOS Partners GmbH on the acquisition of Swibox Holding AG by Smart Building & Industrial Services GmbH.
Swibox is a leading Swiss supplier of electrical enclosures and enclosure solutions of all kinds for clients in the mechanical and plant engineering industry. Swibox differentiates from its competitors in the DACH region through its ability to deliver custom-tailored and innovative solutions within a shorter period of time, enabling the company to win and contribute to some of Switzerland’s most prestigious infrastructure projects including the Gotthard and Ceneri base tunnels. To market its existing and new product developments on an international level, Swibox will enter a strategic partnership with the SRG & SERVE Group based in Germany and Luxembourg, renowned for its expertise in process technology, energy distribution and building automation. For their cooperation, Swibox and SRG & SERVE will be brought together under a joint holding company controlled by EOS Partners but will continue to operate as independent companies. The management of Swibox will remain shareholders in this new group of companies.
The SBIS Group targets an increasing shortage of production capacity in times of the ongoing energy transition by providing electrical cabinets and critical components. Its current nucleus, SRG & SERVE, is a highly innovative manufacturing company with focus on engineering and switchgear systems production headquartered in Grevenmacher, Luxembourg. With the addition of Swibox, the Group develops into a vertically-integrated market leader for electrical enclosures with full value chain coverage from the manufacturing of enclosures to the integration of switchgear systems, leveraging the existing footprint and outstanding reputation in both core markets Germany and Switzerland.
EOS is a long-term oriented private equity firm investing into midmarket companies in the DACH region. The aim is to take a multidisciplinary approach to accelerate growth and increase efficiency. EOS develops category leaders with high competitiveness by providing industry expertise, strategic know-how, access to a vast network, as well as flexible capital. EOS strives to establish best practices that strengthen its portfolio companies and last well beyond its investment period.
