GSK Stockmann provided comprehensive advice to the Hungarian firm B+N Referencia Zrt. based in Budapest on its takeover of the Köberl Group based in Aschheim near Munich. The sellers are the Belgian private equity investment company Gimv and the founders Armin and Karl Köberl, who will remain shareholders and managing directors of the Köberl Group.
A GSK Stockmann team led by Munich partner Andreas Dimmling and Hamburg partner Daniel Fehling advised on the transaction. The team pooled together expertise from the areas of corporate/M&A, employment law, IT/IP, antitrust law, facility management, real estate, finance and litigation.
Based in Budapest, B+N is one of the leading facility services providers in Central and Eastern Europe. In addition to Hungary, the company also operates in the Czech Republic, Italy, Poland, Bulgaria, Slovakia, Romania and Slovenia and has a total of around 28,000 employees and revenue of EUR 450 million. Since 2021, B+N has acquired several companies in Central and Eastern Europe and, prior to the Köberl takeover, took its first step into Western Europe with the acquisition of the Italian company Sagad in 2023.

The Köberl Group is a facility management and building technology services provider mainly operating in southern Germany. The group’s approx. 600 employees provide a wide range of services, from building technology, facility management and janitorial services to life cycle management. The group’s brands include Fink Gebäudetechnik, Gema Gebäudemanagement, SGM Süddeutsche Gebäudemanagement, 089 Immobilienmanagement, Kriotec Kälte- und Klimatechnik, THG Abwassertechnik and Rohrreinigungs-Service RRS.
The Antwerp-based investment company Gimv has held a stake in the Köberl Group since 2020. Together with the co-owners and managing directors Armin and Karl Köberl, Gimv has driven the expansion, strategic development and digitalisation of the company in recent years. Armin and Karl Köberl will remain in their management roles and retain a smaller stake in the company after the takeover. The transaction is still subject to closing.
