Worldwide, there is an increased demand to incorporate ESG factors. Companies need to consider these criteria when making investment decisions. Nonetheless, adopting or enhancing environmental, social and corporate governance performance takes time, mainly because it requires businesses to implement a new set of principles and policies, as well as to redesign internal controls and compliance programmes, create new functions and acquire additional expertise. This panel aims at analysing ESG trends in Argentina by taking into consideration the relevant variables that have significant impacts on these criteria, such as government responsiveness, rule of law and business governance structure, as well as financing and investment aspects. It highlights the limitations and advantages of the current practices in place while suggesting improvements to deliver more effective and efficient outcomes at ESG levels and focuses on the role that inhouse counsels have in these matters

International Arbitration has a long-lasting tradition in the hydrocarbons industry, an economic sector that has consistently chosen international arbitration to resolve disputes. International Arbitration has also been the selected dispute settlement mechanism to provide legal certainty to large investment projects. With the advent of bilateral investment treaties in the early 2000s, international arbitration has once again regained attention in the sector. Coupled with the protection in Investment Treaties, it has been the chosen dispute resolution mechanism to settle large-size and extremely complex disputes between the recipient State and the foreign investor. This panel, which brings together the experience of the General Counsel of the main hydrocarbon companies operating in Argentina, will discuss the use of International Arbitration in the industry to settle commercial and investment disputes. Our panel will also benefit from the presence and experience of current and former Government Officials at the Office of the General Attorney of Argentina, State-organ endowed with the responsibility of defending the Argentine Republic in international disputes. The panel will cover recent experiences in Argentina and Latin America.

Cynthia Paula Calligaro, partner, legal leader, Deloitte Argentina

Cynthia is a lawyer graduated from Universidad de Buenos Aires (2008). She completed a Postgraduate Degree in Tax Law at the same university (2013) and also completed a Master’s Degree in Business Law at Universidad de San Andrés (2021). He gives lectures and classes and participates in several congresses as a speaker. She has published different journalistic articles or collaborations. She is admitted to the Bar of the Bar Association of the Federal Capital (CPACF), to the Bar of the Bar Association of San Isidro (CASI) and to the Bar of the Federal Court of Appeals of the City of La Plata. She is a member of the Bar Association of the City of Buenos Aires, member of the Argentine Association of Tax Studies (AAEF) and is a member of the Tax Law Committee of CASI. She is also a professor at Universidad del CEMA (tax procedures law), taught a class at Universidad de San Andrés together with Univerdad ESAN of Peru and teaches in the Program for Corporate Lawyers organised by Thomson Reuters. Cynthia is focused on corporate reorganizations and restructurings, entity downsizing programs, post-merger integration processes, landing of companies in Argentina, closing of subsidiaries and branches, liquidations, etc. She has extensive experience in business structuring. As part of her experience, Cynthia also advises on local and international tax issues related to such transactions and operations and intervenes in tax litigation at federal, provincial or municipal level. She has a deep knowledge and understanding of complex tax issues with more than 10 years of experience advising clients investing in Argentina as well as advising multinational companies located in Argentina doing business in the country and abroad. Her experience covers a wide range of industries.

Walter Mañko, leader of legal employment & benefits practice, Deloitte Argentina

Walter is the leader of the Employment & Benefits practice at Deloitte Argentina. With more than 20 years of experience in the legal profession, Walter advises national and international clients on employment and social security matters. His work is based on strategic planning and knowledge of clients’ activities and businesses.
He is consulted for his extensive experience in complex labour and social security matters. He assists clients on issues relating to senior executives, hierarchical employees, complex compensation structures, hiring, dismissals (individual and mass) and labour litigation.
He has participated in the drafting and negotiation of collective bargaining agreements for various industries, has been an advisor to different business chambers on labour and trade union issues, and has been involved in dispute resolution in a multiplicity of provinces and regions. He has extensive experience in complex labour litigation, strategy development, occupational risk prevention and start-ups in Argentina. Walter has participated in due diligence processes representing clients in different activities and has participated in M&A processes assisting clients on labour and social security issues. He is a lawyer graduated from the Universidad de Belgrano, and is a specialist in Labour and Social Security Law with a postgraduate degree from the Universidad Católica Argentina. Eduardo Bonis, leader of corporate and M&A practice, Deloitte Argentina

Eduardo is the leader of the Corporate and M&A practice at Deloitte Legal Argentina. He specialises in corporate law, foreign investments and startups. He has extensive experience in handling complex transactions, including renewable energy and mining projects. He has led numerous M&A transactions in various industries advising local and foreign sellers, as well as strategic buyers in the acquisition of local companies. Eduardo has more than 10 years of experience providing general corporate legal advice to local and multinational companies doing business in Argentina, covering a wide range of industries. Eduardo is a lawyer graduated from the University of Buenos Aires (2006) and holds a Master’s in Private International Law from the University of Bologna, Italy (2009/2010). He has worked abroad as in-house lawyer at Recovery do Brasil in Sao Paulo, Brazil (2008) and as foreign associate at Pavia e Ansaldo law firm in Rome, Italy (2010). He is a member of the international association AIJA (Association Internationale des Jeunes Avocats), vice-president of the Environment and Energy Commission and member of the M&A Commission. He is also an active member of the Italian Chamber of Commerce in Argentina.

Lucrecia Loureiro, Director of Human Capital, Sustainability, Legal and Corporate Affairs of Loma Negra CIASA and group companies since the beginning of 2022. She held various positions within the Company, such as Legal Director and Corporate Affairs in 2021, Legal Manager and Compliance Officer from 2017 to 2020, and previously various roles in the legal area. A lawyer specialised in corporate law with a solid track record in legal and compliance areas of market-leading companies. Extensive experience in capital markets and corporate governance, implementation and development of the compliance area, management of public affairs and internal and external communications. Also in charge of the Loma Negra Foundation for Sustainable Development. Lucrecia graduated from the National University of Buenos Aires (UBA), she holds a Master’s in Corporate Law from the UCA and an exchange program at the University of Tilburg, The Netherlands. She also holds several compliance certifications, an Executive Development Programme from the Universidad Torcuato de Tella, and specialised courses in leadership and organisational competencies development.

Horacio Liendo, senior director of fintech legal, Mercado Libre

Horacio Tomás Liendo (n), Sr. Director of Fintech Legal at Mercado Libre, is a lawyer specialised in administrative and financial law. He began his professional career at Marval, O’Farrell & Mairal (a law firm based in Buenos Aires), and later worked as an in-house counsel for Argentine financial entities. Between 2015 and 2019 he was a member of the board of directors of the Central Bank of the Argentine Republic, presiding over the Audit, Prevention of Money Laundering and Legal Committee. He was an initial member of the Coordination Committee for Financial Inclusion, from its creation, in 2017, until 2019. He graduated from the University of Buenos Aires (UBA) and obtained a Master of Laws (LL.M.), with distinction, at Georgetown University (Washington DC, USA). He also completed the Management Development Program at the Business School of the Universidad Austral (IAE). He is the author of several articles on fintech and financial law.

Arnaldo Cisilino focuses his practice mainly in the area of Civil and Commercial Litigation, Class Actions, General Dispute Resolution, Technology, Data Protection, freedom of expression and privacy conflicts. Arnaldo Cisilino joined PAGBAM in June 2003 and became partner in 2016. He is part of the Telecommunications, Media & Information Technology department, advising major corporations in internet related claims, data protection, and new project and product launches.
He obtained his law degree from the Universidad de Buenos Aires in 1999 and later obtained a Master in Law and Economics of the Universidad Di Tella. Furthermore, he attended a Course in Banking Law at the University of Buenos Aires. Geraldine Moffat, labour law partner, Pérez Alati, Grondona, Benites & Arntsen (PAGBAM)

Geraldine Moffat develops her practice in the area of labor law, advising both multinational and local companies. She also specializes in preventive advice in individual and collective labor conflicts, negotiation and implementation of agreements for the termination of management personnel and in restructuring, adaptation of international corporate policies, contracts and programs to local regulations, stock options programs and benefits, and in highly complex disputes. Likewise, she provides advice on issues of Immigration Law to expatriate workers. She joined PAGBAM in 2022 and previously worked as a partner in leading law firms in Argentina. Geraldine Moffat graduated as a Lawyer from the University of Buenos Aires, and completed a Specialization in Labour and Social Security Law at the Argentine Catholic University. She is the author of several articles of doctrine and is also a lecturer at conferences and congresses.

Martín Vazquez Acuña, general counsel, HSBC Argentina

Martín Vazquez Acuña is a lawyer graduated from the University of Buenos Aires and holds a Master’s degree in Law and Economics from the Torcuato Di Tella University. He joined HSBC in 2013 and has been General Counsel of HSBC Bank Argentina S.A. since June 2018. Previously, he worked in the Banking Law Department of Marval O’Farrell & Mairal and in the New York offices of Skadden, Arps, Slate, Meagher & Floom as Foreign Associate. Earlier in his career he worked as in-house counsel at various financial institutions. In addition, he has written several articles and books on banking, financial and foreign exchange law.

Santiago Boccardo, head of legal for the South & West Latam Region, Louis Dreyfus

Mr. Boccardo holds legal degrees from Harvard Law School (LL.M) and Universidad Católica Argentina (Abogado). A member of the New York State Bar Association and the Colegio Público de Abogados de la Capital Federal, he is admitted to practice law in New York and the City of Buenos Aires. Santiago started his career in private practice, focusing in corporate and financial law. In 2006 he joined the Nestlé Group where over the course of a decade he held increasingly senior positions in Argentina, Chile and Brazil. Relocating to Buenos Aires in 2016, he took over his current role with the LDC Group, a global agricultural merchant and processor helping provide sustenance for a growing population, working to create fair and sustainable value for the benefit of current and future generations. Santiago has served as a board member to several companies and industry group organizations throughout Latam, mostly in the consumer goods, food, ingredients & commodities sector. He is a founding member and currently sits on the advisory board of Fundación Grano de Mostaza, an Argentine Foundation contributing to the progress of underprivileged youth by means of various education programs and committed to numerous of the UN’s Sustainable Development Goals.

Diego Gosis, partner, Miami, GST LLP

Diego Brian Gosis is a partner at GST LLP in Miami. For more than 20 years, he has been involved as counsel, conciliator, sole arbitrator and co-arbitrator in more than 100 high-value and complex disputes. He has been ranked among the leaders in the practice of international arbitration law in Latin America by Chambers & Partners, Legal 500 and Who’s Who. He has represented sovereigns and individuals in international arbitration and related proceedings in the Americas, Europe, Africa and Asia. He has extensive transactional experience, including mergers and acquisitions of private and publicly traded companies, technology development and financing, real rights, hydrocarbons, hotel and casino transactions, organising and advising participants in public and private tenders and commercial firms, tax planning, and assisting public entities and individuals in commercial, administrative and international law matters. María Inés Sola, legal manager, Pan American Energy

Ines Sola is Legal Manager at Pan American Energy for its operations in Argentina, Bolivia, Mexico, Brazil and Paraguay.
Ines is a lawyer graduated from the University of Buenos Aires. She holds a Master’s degree in Law and Economics and teaches Arbitration at the University of Buenos Aires.
After interning at the Secretariat of the International Court of Arbitration of the International Chamber of Commerce in 2005, she specialised in international arbitration at Le Pera & Lessa Abogados in Buenos Aires.
Ines is a member of the Board of the ICC Institute of World Business Law and chair of its Compliance task force; member of the Executive Committee of ICC Argentina and chair of its Trade and Investment Commission. Ignacio Torterola, founding partner (Washington DC Office), GST LLP

Ignacio Torterola has represented global companies, governments and private client parties in Latin America, Europe, Asia, Africa and the Caribbean. Currently, he is lead counsel in two ICSID cases: one involving a mining case in Guatemala, the other pertaining to a major construction arbitration in the Dominican Republic. Acting on behalf of the Government of Pakistan, Ignacio handled one of the largest ICSID and ICC cases successfully defending the country in the annulment and revision proceedings leading to the zero settlement of a USD 1.2 billion investment dispute. He represented an oil company in a case involving an off-shore drilling contract, and he successfully defended a state actor in two successive international proceedings, obtaining favorable orders from the tribunal to disclose a funding agreement and secure costs. Torterola currently seats as president of Tribunals in ICSID and other high-profile international arbitrations around the world. A former career diplomat, he is currently a member of ICC’s Latin American group, Co-Director of International Arbitration Case Law (IACL), and he appears on UNCTAD’s list of Investment-State Dispute Settlement Specialists

Nicolás Eliaschev, partner, Tavarone, Rovelli, Salim & Miani - Abogados - TRSyM

Nicolás is a partner at Tavarone Rovelli Salim & Miani, a full-service Law Firm based in Argentina. He is a regulatory expert with nearly 20 years of experience. Mr. Eliaschev specialises in Energy (renewables, electricity, oil & gas), Infrastructure (including, airports, ports, railroads and toll roads) as well as in Administrative Law. Federico Campolieti, partner, Bomchil

Federico Campolieti is a partner at Bomchil, where he co-heads the arbitration practice. He is an alternate member of the International Court of Arbitration of the International Chamber of Commerce. He has advised and represented companies and states in various investment arbitrations, as well as in international commercial arbitrations. He has acted as an arbitrator in international arbitrations under ICC and UNCITRAL rules. He is an adjunct professor at the Faculty of Law of the University of Buenos Aires, where he obtained his law degree and specialised in administrative law.
