This practical panel discussion will analyse how environmental, social and governance (ESG) principles are shaping the way corporations operate and take decisions; how corporate transactions are being evaluated around these principles in a manner that certain transactions (ie and M&A transaction) will only be approved if it serves to the corporation’s purpose and mission, or how financial institutions will only enter into transactions with companies that comply with ESG principles or have credit lines dedicated to this kind of transactions. The speakers will debate (i) how in-house legal departments’ decisions are being influenced by ESG principles; (ii) what is the view of different local companies regarding the implementation of ESG principles; (iii) how should a company approach to such implementation, (iv) how are financial institutions evaluating ESG principles implementation when deciding to enter into a transaction.

Mauricio Olaya, principal partner, head of the M&A and corporate practice, Estudio Muñiz
Principal partner and director of the corporate law and M&A practice at Muñiz, Olaya, Meléndez, Castro, Ono & Herrera Abogados, among the most important law firms in the Peruvian market. He is considered a leading lawyer in his area by the main international legal publications. Mauricio has participated in the closing of the most significant transactions that occurred in Peru across different economic sectors. He is also the director of several well-known companies (Sky Airlines, Packaging Industries, Paracas Port Terminal, Machu Picchu Foods, Agro Industrial Beta, Agro Industrial Paramonga, among others). A columnist for the newspapers El Comercio and Gestión, he is also the author of the blog Directors up to date in Semana Económica. He is a regular speaker at conferences and forums on topics related to compliance, corporate governance and ESG indicators, among others.
Juan Antonio Castro, corporate vice-president, Intercorp Group
Juan Antonio Castro is the Corporate Vice President of Intercorp. He is a lawyer from the Pontificia Universidad Católica del Perú, holds a Master of Laws (LL.M.) from the University of Virginia (Fulbright Scholar) and a Master of Business Administration (MBA) from the Adolfo Ibañez University. Mr. Castro is also the Director of the Technological University of Peru, IPAE Association.
Gianmarco Tagliarino, general counsel and corporate affairs VP, Grupo Breca
Mr Tagliarino has worked at Breca since 2017. At Breca, he has led different transactions such as the sale of EXSA, Mina Justa, and the acquisition of Inversiones la Rioja, among others. He is a member of APORTA’ s executive council and Breca’s social impact platform. Mr Tagliarino is also a member of non-profit associations such as: BREIT, an educational institution focused on strengthening the advanced analytics ecosystem in Perú and the Foreign Trade Association of Perú (COMEX Perú). He also led Breca’s corporate affairs and sustainability matters. Before working at Breca, he was the deputy general counsel at Banco de Crédito where he acted as primary counsel for the corporate banking, international commerce and finance, financial planning and treasury departments, as well as for BCP Miami. Prior to Banco de Crédito, he was a foreign associate at Chadbourne & Parke LLP (NY office) where he counseled corporations and financial institutions with respect to their Latin American finance, commercial, M&A, joint ventures, and corporate reorganisation transactions. He holds a LLM from Columbia University, USA and he is a Juris Doctor from the University of Lima.
Juan Carlos Vélez, senior partner, Estudio Muñiz
Senior partner and member of the corporate law and M&A team at Muñiz, Olaya, Meléndez, Castro, Ono & Herrera Abogados. He worked as a foreign associate at Proskauer Rose LLP (New York, 2020-21), around corporate law and M&A, where he had the opportunity to participate in transactions carried out in various Latin American countries. In Peru, he has been involved in important operations across different industries for which he has been considered by the main international legal guides as a reference in this area. He teaches a master’s degree in business law at the San Ignacio de Loyola University and at the Faculty of Law and a master’s degree in finance and corporate law at ESAN University. He holds a master’s degree in law from the University of Pennsylvania and another in finance and corporate law from ESAN University.
Carlos Arata, partner, Rubio Leguia Normand
Carlos is a partner in the financial and corporate practice area, specialising in project financing, corporate financing, mergers and acquisitions, as well as other corporate operations. He has significant experience on project finance, issues in the capital market, corporate financing and mergers and acquisitions, especially covering the retail, energy, hydrocarbon, mining and infrastructure sectors, both in the local and international market. Carlos has led $851m advice in the capital increase for new contributions made by the other shareholder in the Quellaveco Mining Project, a $4bn project to be developed in Moquegua – Peru, the advice to Grupo Energia Bogota as acquirer of Grupo Electro Dunas (comprised of six companies) on a transaction estimated at $280m, among others. Before joining Rubio Leguia Normand, Carlos worked as an international associate in the following firms in New York: Sidley Austin, DLA Piper and Clifford Chance where he had the opportunity to participate in the most important infrastructure projects in the country. Previously, he was senior associate at Estudio Grau (now CMS Grau) where he had the opportunity to participate in financing operations in various economic sectors, as well as acquisition operations of large companies.
Marcel Cordero, legal and compliance corporate director, Alicorp
Marcel Cordero is a lawyer with experience in corporate law, M&A, real estate, corporate governance and compliance. Qualified as a lawyer at Pontificia Universidad Católica del Perú and also studied business administration at Universidad del Pacífico. He has experience in leading complex transactions in different fields. A former senior associate at CMS Grau, for the last 9 years he lead the legal departements of multinationals. Currently Mr Cordero is corporate director of legal and compliance at Alicorp, responsible for legal affairs in eight countries.
Patricia Brocos, legal director, Credicorp Capital
A lawyer with 15 years of experience in banking and finance and corporate law. Qualified from the law programme of Pontificia Universidad Católica del Perú, with a masters of law (LLM) from Northwestern University Law School (Chicago, USA) and a certificate in business administration from the Kellogg School of Management. She has experience in leading legal teams providing legal support to different businesses focused on client service to in-house clients. She also has extensive experience in a wide range of corporate, financial and capital market transactions; focused on financings, issuance of bonds, financial and banking regulation, corporate and M&A.
Verónica Arbulu, general counsel, Statkraft
Veronica Arbulu is a lawyer specialising in corporate law with more than 15 years of experience in different companies in the construction and energy sector. She currently holds the position of legal and corporate affairs manager at Statkraft, is chair of the Diversity and Inclusion Committee of AFIN, Asociacion para el Fomento de la Infraestrutura Nacional and is a mentor for the WIN-Women in Energy mentoring programme. She was president of the electrical legal committee of the National Society of Mining, Petroleum and Energy – SNMPE from 2017-20.
Aldo Reggiardo, partner, Cuatrecasas
Aldo Reggiardo specialises in corporate and financial law, having handled many financing transactions, particularly infrastructure project finance in various business sectors. He has participated in many M&A transactions, debt and capital issues, and transactions to restructure the liabilities of insolvent companies, both in the Peruvian market and in the main international markets. He is also recognised for his work in advising banks and financial institutions.
He is a member of the Lima Bar Association. Before joining Cuatrecasas, he was co-managing partner of the practice for financing projects and infrastructure at Payet Rey Cauvi Pérez. He also worked as an international associate at Cravath, Swaine & Moore.
He has lectured on commercial law at Universidad de Lima and on corporate law at Pontificia Universidad Católica del Perú at undergraduate level. At Pontificia Universidad Católica del Perú, he has also lectured on the course “Assessing and Financing Projects” in the Master of Business Law. He has written many articles on company law, banking and finance law, insolvency law and securities market law in specialized journals. He also talks at national and international forums on his specialty areas.

Oscar Trelles specialises in M&A and private equity, coordinating the practice in Lima, as well as in project finance and financing. He has participated in some of the most sophisticated and important national and international transactions, including multijurisdictional transactions, in recent years. Before joining Cuatrecasas, he worked in different international law firms in Lima and New York, including Curtis, Mallet – Prevost, Colt & Mosle and Simpson Thacher & Bartlett, where he participated in complex multijurisdictional transactions.
