1.10pm – 1.35pm Implementing the EU Pay Transparency Directive in a Culture of Salary Secrecy – Cultural Barriers and Challenges on the Road to Workplace Equity

The EU Pay Transparency Directive, which entered into force on June 6, 2023, must be implemented within three years. The requirements imposed by the Directive will create significant challenges for Polish employers, where confidentiality of earnings is a firmly held dogma. Implementation of the Directive will not only require a review and adjustment of existing HR policies and procedures but, most importantly, a fundamental shift in mindset and workplace culture. Although 2026 might seem distant in our ever-changing reality, a proactive approach must be taken to prepare organizations for such a transformation. The panel will address the challenges and practical issues from both Polish and international/group perspectives.

Owning the business is a constant challenge, so is its sale. If you want to sell the business now or in the future you have to be always ready, internally and from the outside. We would like to open the discussion on what are the reasons on selling the business (cash – out, succession, merger, concentration of small size – mid size business), how to be prepared for this occasion and why legal support is a missing puzzle in this process. The panel will be an opportunity not only to listen about various experiences but also to share some of yours and how to overcome problems or challenges in the process.

He specialises in cases involving manipulation of financial instruments (MAR regulation), insider trading, and conducting brokerage activities without required permits. He has successfully represented clients in professional liability cases, demonstrating his expertise and dedication in the field.

He gained nearly 20 years of experience as an officer in law enforcement agencies such as the National Police Headquarters, the Central Bureau of Police Investigation, and the Capital Police Headquarters.

He conducted and supervised complex investigations related to economic crime and organised economic crime. He collaborated with INTERPOL, EUROPOL, GIIF authorities, foreign services, and coordinated the work of investigative teams. He served as the head of the Polish Asset Recovery Office cell responsible for international cooperation among law enforcement agencies and services in asset tracing

He is a lecturer in the fields of criminal procedure, commercial law, forensic science, international law enforcement cooperation.

Elżbieta Viroux-Benmansour, founding and managing partner, Viroux & Partners

Elżbieta Viroux-Benmansour is the founder and managing partner of Viroux & Partners. Elżbieta has valuable experience in multi-level deal structuring in international transactions, M&A and company transformations. She represents clients in international litigations, including EU competition law disputes. She is an accomplished mediator, successfully acting as a leading counsel in international arbitrations (ICC, LCIA, UNICITRAL, VIAC, SCC, AAA, ICDR, SAKIG, Lewiatan).

Łukasz Łyczko, director, attorney at law, PwC Legal Polska

Łukasz Łyczko, counsel at PwC Legal, specialises in payment services law, banking law and capital markets law. Łukasz provides regulatory advice to financial institutions and entities related to the financial market. He has experience in projects concerning the implementation of the Act on payment services, mobile payment systems, payment cards, electronic money, licensing proceedings before the Polish Financial Supervision Authority, and outsourcing of banking activities.

Tomasz Kokoszka, head of legal and compliance, Eastern Europe, Signify

Head of legal and compliance at Signify, Tomasz is responsible for managing comprehensive legal support for Signify’s companies and management in Eastern European markets. He manages a team of lawyers supporting Signify’s commercial organisations in the region, manufacturing operations in Poland and Hungary, as well as procurement and supply chain organisations. A legal advisor to the District Chamber of Legal Advisors in Warsaw, Tomasz is a graduate of Warsaw University and the Center for American Law.

Kamila Koszewicz-Grzeszczak, vice president, head of global compliance and privacy, head of EMEA legal, GlobalLogic

Kamila is a legal executive with 14 years of experience. She started her career as a law firm advisor working mainly with IT clients. About 8 years ago she decided to transition to an in-house role, and since then served as a legal expert in software engineering companies.

In 2018 Kamila joined GlobalLogic, a Hitachi Group Company. Headquartered in Silicon Valley, GlobalLogic operates design studios and engineering centers around the world. In her 6 years with GlobalLogic she built two global functions (Privacy and Compliance, supporting 23 countries, 32000 people) and one regional (supporting 10 EMEA countries, 6000 people).

Kamila supports M&A activities of the group, building and driving post-acquisition integration plans. Over the last 24 months this covered 5 groups of companies, including 2 in the EMEA region.

She is deeply involved in the progressing integration of the GlobalLogic group with Hitachi, leading the efforts on implementing the Hitachi global compliance program.

Dorothy Hansberry-Bieguńska, partner, Hansberry Tomkiel

Dorothy Hansberry-Bieguńska is a partner in the Hansberry Tomkiel firm. The Firm represents clients before Competition Authorities and courts in complex competition cases in Poland, Brussels and the US. Previously, she worked as a senior trial attorney in the U.S. Department of Justice’s Antitrust Division as well as an advisor to competition authorities in Eastern and Central Europe. She was the general counsel of UPC Poland and went on to manage another Polish media company. She has overlooked damage actions in Poland from the plaintiff as well as the defence side. Moreover, she has brought her experience to defending clients in cartel matters, including building Article 101(3) TFEU defences.

Anna Hałas-Krawczyk, head of the labour and employment practice, Warsaw office, Greenberg Traurig

Anna Hałas-Krawczyk is the Labor & Employment Co-Chair for Europe and the Middle East, and Head of the Labor & Employment Practice at the Greenberg Traurig Warsaw Office. She is experienced in labor law and has extensive knowledge of management contracts and incentive plans for top management. Her practice focuses on assisting a variety of foreign and domestic entities with employment restructuring, mass redundancies, and preparing incentive schemes for employees.

Robert Gago, head of the competition law practice, Greenberg Traurig Poland

Robert Gago is Head of the Competition Law Practice at the Greenberg Traurig Warsaw Office. He advises clients in the fields of competition and consumer protection law, and economic regulation. His experience includes representation in administrative antitrust proceedings conducted by competition enforcement agencies. Robert also advises on competition law aspects of M&A projects and represents clients in merger proceedings before the Polish Competition Authority, as well as in proceedings before the European Commission. Additionally, he represents clients in court appeals against authority decisions.

Beata Górniak, chief people officer, Stock Spirits Group

Beata Górniak has been the Chief People Officer at Stock Spirits Group since November 2022, where she is responsible for the Group’s HR strategy and processes, as well as ESG issues and internal communications. As part of her role, she works directly with HR departments in the European markets where the Group operates. Previously, she served as HR Director and Member of the Management Board at PKP Energetyka for six years. Beata is an expert in change management and building employee relations, with over 20 years of professional experience. She has led HR departments in companies such as Tesco, Vattenfall, Tauron Group, and Saint-Gobain.

Małgorzata Krasnodębska-Tomkiel, partner, Hansberry Tomkiel

Małgorzata Krasnodębska-Tomkiel is a Polish solicitor and a doctor of legal sciences. For 16 years, she worked at the Polish Competition Authority. From 2008 to 2014, she served as the Polish Authority’s chairperson. Her duties as the chairperson included the protection and enforcement of the EU and Polish competition laws. Ms Krasnodębska-Tomkiel is internationally recognised by senior competition officials and private practitioners as a leading figure in competition enforcement. Her knowledge of and experience with the policies, practices and strategies of Polish and foreign competition authorities puts her in a position to represent companies and their executives in national and international cartel investigations and litigation. Ms Krasnodębska-Tomkiel teaches Polish and EU competition law at the Polish Academy of Sciences and Warsaw School of Economics.

Dorota Podsiedzik-Malec, partner, Hansberry Tomkiel

Dorota Podsiedzik-Malec is a solicitor with Hansberry Tomkiel. She was previously a director of the legal department and deputy director of the market surveillance department at the Polish Competition Authority. As the director of the legal department, she was responsible for finalising the Authority’s decisions and for ensuring that they were consistent with Polish and EU law. As a seasoned litigator, she often represented the Polish Competition Authority in cases before courts of all instances. As a senior counsel in Hansberry Tomkiel, she has represented clients in cases involving private damages, bid-rigging, vertical restraints, abuse of dominance, horizontal agreements, consumer protection and merger notifications.

Iwona Pik, chief executive officer, Polski Holding Rybny

Member of the Management Board and co-owner of Polski Holding Rybny, associated with the financial industry since the early nineties. As a pioneer, she introduced outsourcing of accounting and management accounting for SMEs. She built and successfully sold the largest hazardous waste disposal installation in Europe. Investor. She has lead various acquisitions of companies – she shares her knowledge on how to navigate the financial sphere in large business.

Marcin Stoń, practice leader, private equity and M&A, Marsh

Marcin is the Practice Leader of the Marsh Private Equity and M&A team in CEE and Eastern Mediterranean. He has been dealing with transactional insurance since 2016 and overall has 15+ years of experience in the international insurance market. Prior to joining Marsh, he held various senior underwriting positions in a global insurance company.

Marcin graduated from the Law Faculty at Warsaw University as well as from the Warsaw School of Economics.

Justyna Nowaczyk-Kędziora, legal counsel, Animex Holding

Justyna Nowaczyk-Kędziora is a legal counsel and in-house lawyer at Animex Holding Sp. z o.o. (formerly Smithfield Polska Sp. z o.o.). Her responsibilities include ensuring legal compliance and providing legal support to the group’s companies in Poland, particularly in the areas of competition law and the regulation of the so-called “Contractual Advantage Act.” She has represented business entities in numerous inspections conducted by the Office of Competition and Consumer Protection (OCCP) as well as in proceedings before the President of the OCCP.

As a member of the internal legal team, she co-develops compliance systems, particularly in ensuring adherence to competition law, protecting the confidentiality and trade secrets of the group’s companies, and more recently, ensuring compliance with both national and international sanctions. She is also responsible for coordinating and providing legal support for Polish and European M&A projects within the capital group.

Edoardo Raffiotta, professor, LCA Studio Legale

Professor of Constitutional Law at the University of Milan Bicocca. He teaches innovation and artificial intelligence law. He is also a Lawyer – Of Counsel at LCA Studio Legale. By Decree of the President of the Council of Ministers dated October 13, 2023, he was appointed as one of the thirteen members of the Coordinating Committee for the updating of national strategies on the use of artificial intelligence. From 2021 to 2023, he was Legal Advisor to the Guarantor for the Protection of Personal Data. Since December 2021, he has been a Fellow of the Research Center in Public Law and Policy at the Berkeley School of Law – University of California.

Damian Flisak, member of the European Commission's group of experts (Team Europe Direct), Blue Dragon Institute

Doctor of law (Ludwig-Maximilian University in Munich), LL.M., legal advisor with several years of experience in conducting legal disputes, served as director or deputy director of large Polish companies (EADS PZL Warszawa-Okęcie, Poczta Polska S.A.) and head of public affairs at Ringier Axel Springer Polska. Former scholarship holder of the Max Planck Institute for Innovation and Competition in Munich, an arbitrator at the Court of Arbitration at the Lewiatan Confederation and at the Internet Domain Court at PIIT, a sworn translator of German. He is a member of the European Commission’s group of experts (Team Europe Direct), a specialist in the law of the latest technologies, emphasizing artificial intelligence and intellectual property. He provides professional regulatory consulting (public affairs), has issued numerous opinions on national and EU legislative projects, and has co-created Poland’s A.I. development strategy. Author of numerous speeches, trainings for lawyers, and dozens of scientific publications. Lecturer at the National School of Judges and Prosecutors, conducts postgraduate studies at the Institute of Legal Sciences of the Polish Academy of Sciences, Koźminski University, and Warsaw School of Economics and teaches copyright law at the Polish-Japanese Academy of Information Technology.

Małgorzata Wojnowska, head of legal and compliance, Żabka Group

Małgorzata Wojnowska is head of legal and compliance, group compliance officer at Żabka Group. She specialises in corporate law, civil law, competition law and M&A transactions. She is responsible for legal services to Group companies, corporate governance and development of Group compliance structures, including implementation of corporate governance and compliance programmes with competition law, personal data protection and anti-corruption regulations in Group companies. She has been involved for many years in areas related to transparency of internal and external business processes and the creation of a modern corporate culture based on responsible and ethical business conduct.

Aleksandra Auleytner, head of IP/TMT practice, Domanski Zakrzewski Palinka

Aleksandra addresses issues of rights on intangible assets. She specializes in copyright law (also in the context of generative artificial intelligence), new technology law, industrial property law and e-commerce. In particular, she advises companies in the technology industry, mainly on implementation and maintenance contracts (including those relating to SAP systems) and other contracts typical of the IT sector. In addition, as part of DZP’s IP&TMT Practice, she provides organizations with support in complying with the requirements of the Artificial Intelligence Act. She is a board member of the New Technology Law Association.

Agnieszka Dzięgielewska-Jończyk, general counsel, Nordea

Branch Manager and General Counsel of Nordea Bank Poland with many years of experience in management of legal and compliance functions in IT, construction and finance sectors. Focused on ethical business conduct and sustainable development, as well as diversity, inclusion and equality in employment. Agnieszka is a Vice President of the Polish Association of Corporate Lawyers (Polskie Stowarzyszenie Prawników Przedsiębiorstw) and a member of the Board of the Women in Law Foundation. In 2021, she was included in the Forbes list of top 25 female lawyers in business.

Joanna Urbańska-Łopatka, chief legal officer, member of the management board, PIB Group Poland

Joanna Urbańska-Łopatka is a member of the management board of PIB Group Poland Sp. z o.o. and head of the legal and compliance department for PIB Group in Poland. She has gained extensive professional experience working as a legal counsel in law firms and financial institutions, particularly in matters related to public companies and the NewConnect market. For more than 10 years, she has been active in the insurance intermediary market, advising on corporate and regulatory issues. She is also heavily involved in M&A transactions within the PIB Group in Poland.

Barbara Skardzińska, general counsel, PKP Polskie Linie Kolejowe

Dr. Barbara Skardzińska is the General Counsel at PKP Polskie Linie Kolejowe S.A., where she oversees six divisions providing legal support to Poland’s national railway infrastructure company and supervises external legal services for 23 regional divisions and various organizational units.

Prior to joining PKP PLK, Dr. Skardzińska worked at top international law firms, including White & Case and Weil, Gotshal & Manges (now Rymarz Zdort Maruta). She has a strong track record in managing complex transactions in commercial, corporate, M&A, banking, and financial law, with a focus on the CEE region. Her experience as an in-house counsel extends to the new technology, energy, and space sectors.

Dr. Skardzińska holds a Ph.D. in international space law from the University of Warsaw and degrees in law, environmental protection, and international economic relations. She is also a graduate of the Stern Leadership Academy at Stanford University Graduate School of Business. Having studied and conducted research at over 20 institutions worldwide, she has contributed to numerous research projects, including those for the Polish National Science Centre and the Polish Space Agency.

She has been recognized as one of the ‘Top 25 Women Lawyers in Business’ by Forbes Women and listed among the ‘Top 50 Lawyers to Follow on LinkedIn.’ Additionally, she received a special award as a ‘lawyer hard to classify’ in the Rising Stars – Lawyers: Leaders of Tomorrow ranking.

In addition to her legal work, Dr. Skardzińska is dedicated to pro bono activities, mentoring young women and educating students about space exploration. She co-hosts the podcast Zawód Prawniczka (“Female Lawyer”), which focuses on career development and work-life balance, appealing to a wide audience within and beyond the legal profession.

Francisco Castro, senior research analyst, Legal 500

Francisco joined the Legal 500’s GC Powerlist series in August 2022. As part of its in-house legal research team, Francisco’s work focuses on researching, editing and interviewing some of the most prominent and exceptional in-house counsel of some of the largest companies in the world.
