The far-reaching new Civil Transactions Law, in force from December 2023 in the Kingdom of Saudi Arabia, presents multiple new opportunities for businesses, whether due to creating a new legal framework for land and property rights (such as leases, usufructs and easements); permitting sales of debt for the first time; confirming the enforceability of contractual risk-allocation provisions, such as limitations of liability and liquidated damages clauses; and setting in place a clearer framework for compensation arising from contractual breaches and harmful acts.
However, steps will also need to be taken to mitigate risks arising from the new law, such as the new requirements that must be fulfilled before enforcing against guarantors, and the set limitation periods for bringing claims.
