Tamedia AG announces an all

cash public tender offer for all publicly held shares of Goldbach Group AG

listed on the SIX Swiss Exchange. Tamedia offers CHF 35.50 per share of

Goldbach Group, representing a transaction amount of around CHF 216 million.

The board of directors of Goldbach Group recommends to its shareholders to

accept the offer.
