Position
Hugues Scalbert is a partner within Gide's Mergers & Acquisitions / Corporate practice group. He specialises in domestic and international mergers and acquisitions, and has developed particular expertise in M&A transactions in the insurance, distribution, higher education and defence sectors, as well in as operations in the Gulf region (particularly Saudi Arabia).
Career
Hugues recently advised: AXA and BNPP for the sale of their insurance subsidiaries in Ukraine; the Maus Group for the acquisition of The Kooples; Webedia for its acquisition of a majority stake in Groupe Elephant; Groupement des Mousquetaires on the acquisition of the French operations of Bricorama SAS and the Spanish subsidiaries of Bricorama SA, La Banque Postale on its partnerships with Malakoff Médéric and La Mutuelle Générale in the health insurance sector and asset management sector, an American group for the acquisition of an insurance portfolio, the Japanese group Suntory on the sale of Cognac Louis Royer and on the acquisition with group Castel of Grands Millésimes de France (Château Beychevelle), Intermarché on the disposal of its Bosnian and Serbian subsidiaries, the Swiss group Maus Frères on the sale of Parashop and on the acquisition of Lacoste, the Laureate Group on the takeover of EBS and more generally on all its acquisitions in France then on the sale of all its French higher education institutions, and various companies for take-over and joint venture projects in Saudi Arabia.
In industrial restructurings (notably outsourcing), he has been involved in the following matters: carve-out, sale and outsourcing of two French branches of the Renault Trucks business; restructuring of AOM, Air Liberté and the sale of Air Littoral; industrial sites outsourcing in the agriculture/food businesses for United Biscuits; textile industries for the Maus group; outsourcing of industrial assets in the motor vehicle and railway equipment sectors for Sab Wabco.
