Austria: Schoenherr advises SanusX GmbH on acquisition of participation in Biome Diagnostics GmbH

Schoenherr advised SanusX GmbH, a UNIQA Group company, on the acquisition of a participation in Biome Diagnostics GmbH in a capital increase transaction.

"We are pleased to be able to accompany SanusX in this exciting expansion step and to have provided comprehensive advice with our expertise in the health care sector", says Gregor Petric, who led the Schoenherr team in the transaction.

SanusX has been active since 2020. The goal of the independent corporate start-up of the UNIQA Insurance Group is to develop into a holistic, modern healthcare provider that supports and accompanies people throughout their lives in maintaining and improving their health. SanusX focuses on prevention (staying healthy) and rehabilitation (getting healthy). Offers are available to both end customers (B2C) and corporate partners (B2B). SanusX is already active with offerings such as Mavie Work, a provider of occupational health care with around 150 corporate customers throughout Austria. Likewise, cura domo, the Austrian market leader in 24-hour care and expert in active & assisted aging with about 2,600 caregivers, is part of the portfolio. Following the entry into Biome Diagnostics, the home testing portfolio will in future include blood tests and tests of the intestinal microbiome, both of which can be carried out conveniently and at a low-threshold level from home.

Biome Diagnostics GmbH is an Austrian-based MedTech company committed to advanced precision medicine. It pioneers microbiome-based technologies that aim to transform cancer care. The company is strategically positioned at the intersection of state-of-the-art DNA sequencing and advanced machine learning algorithms to develop first-class technologies for routine clinical practice.

The Schoenherr team advising on this transaction was led by Gregor Petric (counsel) and further consisted of Gabor Kulcsar (associate), Nikolaus Stepan (associate), Alexander Pabst (attorney at law), Iliyana Sirakova (counsel), Nina Zafoschnig (attorney at law), Karin Pusch (attorney at law), Christina Unterdünhofen (associate), Johannes Frank (attorney at law), Marco Thorbauer (partner) and Tobias Hayden (attorney at law).
