Position

Lorenzo Olgiati heads Schellenberg Wittmer’s Mergers & Acquisitions Group in Zurich. His practice focuses on domestic and cross-border mergers and acquisitions, public takeovers, securities and stock exchange regulation, private equity transactions and other significant corporate and commercial matters, including advice on corporate governance matters and shareholder activism.

Experience:

  • Counsel to German private equity firm EMERAM and the management shareholders in the sale of leading Swiss 3D people counting sensor and software solutions provider Xovis Holding AG to Swiss private equity firm Capvis
  • Counsel to SIX Group on the carve-out and sale of SIX Payment Services into a strategic partnership with Euronext-listed Worldline at a total consideration of CHF 2.75 billion, partially paid in newly issued Worldline shares
  • Swiss counsel to SIX-listed ams AG in its acquisition of Heptagon Advanced Micro-Optics Pte. Ltd., Singapore, for up to USD 855 m in cash and newly issued shares
  • Counsel to Canton of Graubünden and Axpo Holding AG, main shareholders in SIX-listed electric power company Repower AG in connection with Repower's strategic repositioning, delisting and CHF 170 m capital increase subscribed by EKZ and UBS-CEIS
