Position

Philip is a partner in the firm's corporate services team. He is recommended for corporate in the 2014 edition of The Legal 500, and was short listed for Partner of the Year at the 2014 Birmingham Law Society Legal Awards. Philip specialises in acquisitions, disposals, reorganisations, joint ventures, shareholder arrangements and equity and debt funding, acting for corporates, entrepreneurs, funders and management teams. Philip advises a portfolio of clients in the financial services sector. He has negotiated and prepared constitutional documents for large corporates, LLPs and prominent trade associations. Philip provides banking support on the firm's corporate transactions and advises financial institutions and borrowers on all forms of debt funding. Current and recent transactions: Advised Ortus Secured Finance on the provision of mezzanine and equity funding of circa £20m to a joint venture vehicle formed by Ortus and the Marcol Group to acquire approximately 500 residential properties for renovation and onward sale. Advised on the banking aspects of a vendor funded buy-out of Metallisation Ltd (2014). Co-ordinated a complex legal due diligence exercise on the acquisition by Thessaly Ltd (funded by Manfield Partners Ltd and Souter Investments Ltd) of Investment Solutions Group (a UK life insurance company) from Alexander Forbes International (2013). Advised Saltus Partners LLP on its acquisition of the investment management business of Mercater Capital Management (2012). Advised Catapult Venture Managers Ltd on a series of investments by The Advantage Enterprise & Innovation Fund Limited Partnership and The Catapult Growth Fund Limited Partnership into healthcare and technology businesses, including Oxford Cryosystems, nanoTherics, Lumora and Biofilm (2010-13). Advised the Equiniti Group on the acquisition of the employee share services division from Natwest Stockbrokers Ltd (2011).
