Position

Senior Associate. Ms. Al Azzeh has substantial experience in advising on corporate operations, foreign investment, merger and acquisition deals and business restructuring. Ms Al Azzeh is also experienced in intellectual property matters, cybercrime law, international labour law and human, legal and economic rights.

Ms. Azzeh also advised on a variety of regulatory proceedings, including numerous matters pertinent to the renewable energy industry, such as the development of renewable energy portfolio standards, contract approvals, security documentation, licences and governmental permits, wheeling rules and net metering standards, as well as providing opinions on policy and legislative strategy relating to legislation and laws that are of concern to the renewable energy industry.

Engaged with several high-profile wind power projects to build, develop, design, construct, own, operate and maintain a wind farm facilities in Jordan. Ms. Arwa provided a full range of legal services which included, among others, advising, developing and refining the legal aspects of and the implementation of the appropriate ownership and organization structure for the project company (including the formation of the project company, preparing the Memorandum and Articles of Association, by-laws etc.; registration of the company; obtaining all local licenses, authorizations and filings etc.); advising on the application for obtaining licenses, permits, approvals; reviewing and advising on local law matters; reviewing project agreements including the Power Purchase Agreement, the Transmission Connection Agreement and the Government Guarantee Agreement, advising on the financing documents and relevant security arrangements; providing of legal support on real estate matters including the drafting and filing of land lease agreements and the assignment thereof; providing a capacity and authority opinion in respect of the project company; assistance with conditions precedent documentation (e.g. board resolutions, directors' certificates etc.); working closely with the sponsors and the project company to achieve all the conditions precedent and milestones throughout the stages of the project .

Engaged with the Arab Bank (Switzerland) in connection to securitization and lending related matters. Recently advised and represented the Arab Bank (Switzerland) in a transaction related to the Saudi Oger US$1.03 billion syndicated loan, in addition to a wide range of securities-related transactions before the Securities Depository Centre including, but not limited to, placing and releasing pledges against deposited securities issued by public shareholding companies.

Provided legal advisory consultancy services to the Arab Bank (Switzerland) with regard to the enforceability of the International Swaps and Derivatives Association (ISDA) and the implementation of the Closing out Netting Agreement in the Hashemite Kingdom of Jordan, if one party should become insolvent under the applicable insolvency laws.

Advised on the International Finance Corporation (IFC) and Swicorp’s acquisition of a 33% stake in Luminus Group. Advised on a multi-store acquisition deal, representing MAF Hypermarkets LLC (MAFH), a United Arab Emirates-based subsidiary of the Majid Al Futtaim Group.

Heavily involved in the ‘portal’ mergers and acquisition sectors involving several acquisitions and capital venture deals.
