Career

Juliana is a Senior Associate of the Corporate Law and Dispute Resolution Department and Corporate Advisory Departmentnt at Harris Kyriakides. She has experience in complex corporate transactions, cross-border mergers and acquisitions, drafting of security documents, issuance of bonds and other financial instruments, as well as advising in matters of corporate governance.

In addition, Juliana is involved in commercial and corporate litigation and arbitration, primarily with an international aspect, such as major shareholders disputes, fraud as well as insolvency proceedings. She specialises in the issuance of injunctive relief in support of both domestic and foreign, court and arbitral proceedings such as worldwide freezing injunctions, disclosure orders and anti-suit injunctions relating to multi-jurisdictional disputes.

Advising and drafting of share purchase agreements and other ancillary documents. Drafting of loan sale agreements, security documents, pledge agreements and other ancillary documents. Conducting legal due diligence, preparation of reports and analysis of protection mechanisms. Drafted financial instruments, legal opinions to management of company and potential bondholders and other legal documentation Drafting of management agreement, shareholders’ agreements and other corporate management agreements. Representing parties for interim reliefs in aid of foreign arbitration. Representing and advising in relation to disclosure orders (Norwich Pharmacal), non-destruction orders and corporate fraud. Representing and advising on corporate insolvency and corporate restructuring matters.
