Foyen successfully represents client before the Supreme Court

16th of June 2020 Partner Jonas Nilsson and associate Johanna Lenell have successfully represented one of Foyen's clients before the Supreme Court of Sweden. The judgment was handed down today, Tuesday 16 June. A major construction and contracting company was seeking almost SEK 10 million in compensation for personal liability under the Companies Act when the case was filed in the courts. The question which the Supreme Court has now considered is when in time liability for litigation costs arises. The Supreme Court agreed with the position advocated by us that an obligation to pay litigation costs arises on a continual basis as the costs are incurred and not when the judgment is issued. Given the outcome in the Supreme Court, the earlier holding by the Court of Appeal for Western Sweden remains in force and our client is only ordered to pay SEK 50,000 to the opposing party in respect of a minor issue in the case, while our client has their litigation costs compensated by the other party. Foyen has advised Mandalay Resources in 32 Million USD share issue

Foyen has advised Canadian mining company Mandalay Resources Corporation inits marketed public offering of shares (subscription rights) on the Toronto stock exchange for aggregate gross proceeds of 43 million CAD (32 MUSD).Mandalay is the 100 % owner of the Bjorkdal gold mine in northern Sweden and the transaction has required legal opinions regarding all companies and permits in the Swedish business operation.

Proposal regarding mining waste could prove a costly business for mining operators

On June 1, 2017 the Swedish Government decided to instruct an investigatory committee to analyze the potential actions or measures necessary to efficiently ensure that sufficient collateral security is in place in mining operations for remediation and other restorative measures. The investigation adopted the name the “The investigation into financing regarding mining waste” and was submitted to cabinet minister Karolina Skog in June 2018 (SOU 2018:59).

Foyen has advised Dragon Mining in Hong Kong Stock Exchange listing

Foyen has advised Australian mining company Dragon Mining Limited in its listing of shares on the Hong Kong Stock Exchange (HKEX) on 5 November 2018. Dragon Mining is principally engaged in gold exploration, mining and processing with operating mines, pre-production mining assets and production plants in Sweden and Finland. Foyen's assignment has included environmental/permitting and corporate due diligence regarding the Swedish operation. The listing comprised a public offering for a total of 50,000,000 shares and the total funds raised were approximately HK$101 million(116 MSEK).

Foyen has assisted Walerud Ventures and Almi Invest with investment in IoT company

7 November, 2017  Walerud Ventures, together with Almi Invest, recently invested SEK 7.5 million in Ekkono Solutions. Ekkono Solutions' business involves "machine learning" and linked objects, also known as the Internet of Things (IoT), with a focus on the manufacturing industry. Ekkono's solutions allow IoT products to learn and adapt, which results in production optimisation and minimisation of manual monitoring/service.

Foyen has advised Mandalay Resources in 40 million USD credit agreement

4 October, 2017 Foyen has advised Canadian mining company Mandalay Resources Corporation in its negotiation of a 40 million USD revolving credit facility with HSBC Bank Canada. Mandalay, which is listed on the Toronto Stock Exchange, is the 100 % owner of the Bjorkdal gold mine in northern Sweden and the transaction has required a number of contracts regarding the Swedish business operation. Foyen’s team was led by partner Peter Dyer, assisted primarily by associate Elinor Pejryd.

Foyen recruits another specialist in public procurement

 Press release 29th of August 2017 Foyen Law Firm has recruited procurement manager Johanna Hellström from Alingsås Municipality. Johanna joins the law firm's Public and Construction business sectors, writes Foyen in a press release. Johanna comes most recently from Alingsås Municipality where she worked as a procurement manager for two and a half years in charge of the municipality's procurement activities and with personnel responsibility for five employees. As procurement manager, Johanna has had a role as a coordinator and strategist that involved decision support for the municipal leadership with respect to various legal issues and responsibility for training in procurement, both internally within the municipality and externally directed towards the business community.

Drone law in five minutes

13 February, 2017 The Swedish Supreme Administrative Court has recently ruled that drones equipped with cameras are subject to the Swedish Camera Surveillance Act. This means that photographing with drones in public areas requires a permit from the county administrative board. The Swedish Supreme Administrative Court’s decision has given rise to lively debate. Linnéa Djursén new CEO of Foyen

– the legal industry’s only law firm director who is not a member of the Swedish Bar Association  17 January 2017 Linnéa Djursén took over as CEO of Foyen the 1st of January 2017. This makes Foyen the only major law firm in Sweden with a CEO who is not a member of the Swedish Bar Association. In addition, Linnéa Djursén is one of the few women executives in the industry. Foyen assists Schneider Electric in the sale of a property to Nyköping Municipality

13 January, 2017 Nyköping Municipality recently completed a strategic acquisition of a property of approximately 100,000 square meters in Arnö. The Technical Division in Nyköping Municipality will now be relocated to the property, which in turn will enable the construction of 200-300 centrally located Residences. The size of the property also allows for future relocation of other municipal activities and, consequently, among other things, the creation of additional new housing opportunities in central Nyköping. The property was conveyed by Schneider Electric for a purchase price of SEK 56 million.

Foyen assists with the sale of the Hemnet website for SEK 2 billion

12 January, 2017 General Atlantic and a consortium comprising investors Pierre Siri, Henrik Persson and investors involved in Merro, an investment company, are becoming the new owners of Hemnet. The amount of the sale is SEK 2 billion. The current owners, Mäklarsamfundet and Fastighetsmäklarförbundet, will retain minority interests in Hemnet. The previous owners, Fastighetsbyrån and Svensk Fastighetsförmedling, are selling all of their holdings in Hemnet.
