Dr. Ata TORUN is a Managing Partner of Hansu Law Firm. As the Head of the International Desk, he is responsible for international matters of our firm. He provides legal consultancy services on Corporate Law, Commercial Law, Construction and Real Estate Law, Intellectual and Industrial Property Law and Dispute Resolution Methods to our local and international clients operating in different sectors.

Dr. Ata TORUN provides legal advice to international investors, joint ventures and companies on the preparation of due diligence reports, negotiation, review and drafting of share purchase and sale agreements, shareholders agreements, confidentiality agreements in Mergers and Acquisitions transactions as well as preparation of letter of intent and escrow agreements.

He advises on the drafting and review of purchase and sale Agreements, service agreements, distributorship and franchise Agreements, manufacturing agreements as well as the preparation of legal opinions and reports for local and international clients operating in various sectors such as food, cosmetics, household supplies, energy, construction, health and medical devices, petroleum and mineral oil.

Thanks to his sectorial knowledge and experience, he provides comprehensive legal advice to clients in the Transportation and Logistics sector, including:

Review and negotiation of all kinds of transportation and logistics agreements as well as warehouse agreements Review and negotiation of framework contracts with suppliers and subcontractors as well as standard terms and conditions Representation and resolution of legal disputes arising from loss, damage and delay regarding domestic and international transportation of goods by road, air and sea as well as multimodal cargo transport Disputes arising from freight costs and demurrage charges Recourse lawsuits related to insurance

Dr. Ata TORUN advises local and international clients in the real estate, construction and energy sector on project development law. He provides comprehensive legal services in the area of Construction and Real Estate Law, including:

Legal advice on the Development and Coordination of real estate projects Preparation, review and negotiation of real estate purchase and sale contracts Preparation and review of construction agreements in return for land share and construction agreements in return for revenue share Legal risk analysis (Due Diligence) Preparation, review and negotiation of all kinds of subcontractor, engineering and service contracts related to construction project Preparation of commercial lease agreements

He also provides consultancy services on the preparation of sales and lease Agreements and legal compliance reports for commercial property projects.

He has wide experience in developing renewable energy projects and drafting related agreements. He has published articles in England and France on issues relating to participants and investors operating in the energy sector. In this context, he continues to work especially on the E-Mobility sector including the charging network operators and charging network stations sector.

He provides legal services to local and international companies in the area of Intellectual and Industrial Property Law, especially in the preparation, negotiation and review of trademark transfer agreements, agreements on purchase of design, license agreements, artwork and copyright agreements, advertisement agreements, agency agreements, organisation services agreements and marketing campaign agreements. In addition, he offers comprehensive and solution-oriented legal consultancy services on the Protection of Intellectual and Artistic Works and Copyrights of our clients.

He also represents our clients before national and international arbitration centres including Istanbul Arbitration Centre. He also provides legal advice to international clients on the recognition and enforcement of foreign court and arbitral awards.

Before joining Hansu Law Firm, he worked in a leading German commercial law firm in the areas of Commercial Law and Transportation and Logistics Law. He was involved with various legal and business matters, especially those related to the Transportation and Logistics industry such as coordination, resolution of legal disputes arising from loss, damage and delay regarding German and international transportation of goods by road, air and sea as well as multimodal cargo transport, advice on regulatory matters in the area of German and international transport, logistics, warehousing and forwarding law. He was also responsible for the representation of international operating Turkish companies in disputes concerning contractual and commercial law matters in Germany.

He also assisted in preparing the transport law chapter of the Handbook on International Business Law (“Holger, Bürskens, in: Handbuch Internationales Wirtschaftsrecht edited by Herbert Kronke/Werner Melis/Hans Kuhn, 2nd edition 2017, Part E. Transport”) that was jointly published by reputable lawyers and academics practicing in German-speaking countries (Germany, Austria, Switzerland and Liechtenstein).

He successfully attended to the Summer Programme on German and International Arbitration organized by Frankfurt University in 2018.

He completed his PhD in Law (Dr. iur.) at Heidelberg University in 2019. His PhD thesis “Evolution of Carrier Liability in Air and Sea Transportation Law – A Comparative Study of International Uniform Law and its Implementation in Turkish and German Law” is published by Verlag Dr. Kovač.
