AVELLUM acted as the Ukrainian legal

counsel to Uber on obtaining a merger control clearance from the Antimonopoly

Committee of Ukraine for the creation of a joint venture with Yandex. The new

company is valued at USD3.8 billion.

The transaction involved the formation of

a joint venture that combines the following activities: (1) facilitating,

through a technology application, taxi aggregator services conducted by both

groups, and (2) facilitating, through a technology application, food delivery,

logistics, and ancillary services, as well as other related activities

conducted by Uber.

Joint venture will be active in Armenia,

Azerbaijan, Belarus, Georgia, Kazakhstan, and Russian Federation.

Herbert Smith Freehills LLP acted as the

global legal counsel to Uber.

Uber develops, markets, and operates the

Uber car transportation and food delivery mobile apps.

Yandex specialises in Internet-related

services and products, as well as in on-demand transportation services.
