Career

Ms. Baytun focuses on corporate and commercial law, competition law, construction law and energy law. She has been involved in energy and construction projects, procedures before EMRA (Energy Market Regulation Authority) and the Turkish Competition Authority, privatizations, corporate law matters including M&A transactions, joint ventures, share purchase and shareholders’ agreements, distributorship agreements and security agreements.

Ms. Baytun, who joined the firm in 2012, is representing national and multinational clients in their local and cross-border transactions, from many sectors including energy, media, automotive, defense industry, construction and information technology. She has recently been involved in one of the biggest airport build-own-operate project ever made in Turkey and her work in this project included drafting and holding the negotiations of the EPC Contract and related security agreements thereof. One of her recent works includes leading the acquisition processes of a major petroleum/LPG/LNG company group and undisclosed electricity distribution and retail sale companies including due diligence processes, negotiation of relevant shareholders’ and share purchase agreements. She has also been involved in acquisition of one of the major fuel distributors in Turkey operating hundreds of gas stations across the country and has legally advised regarding highly controversial competition law matters and conducted the due diligence reviews in relation to such acquisitions; and drafted all the related agreements and documents.

Moreover, she also has in-depth knowledge in sophisticated IT projects. Her experience in IT projects has been developed out of the preparation and negotiation processes of supply and installation agreements for the implementation of the integrated IT systems, initiated by an electricity distribution company group, which was finalized in 2014. That was the first and fore attempt in Turkish electricity distribution network and shown as one of the biggest IT projects throughout the Europe back then.
