Position

Mark is a Partner and co-head of the Herbert Smith Freehills London Remuneration & Incentives team, who specialises in employee incentives and remuneration, advising both listed and private companies.

Career

Mark joined Herbert Smith Freehills as a trainee in 1998, qualified in 2000 and became a Partner in 2008.

Mark advises on the establishment, operation and tax implications of a variety of cash and share-based incentive arrangements. He also advises on the incentives aspects of corporate actions, including takeovers, IPOs, schemes of arrangement, rights issues and demergers. Mark also advises on the remuneration aspects of executive recruitments and terminations and is a specialist in advising financial institutions, including banks and asset managers, on compliance with remuneration regulations.

Mark is the author of Employee Share Schemes published by Bloomsbury Professional, one of the leading texts on the subject. He is the joint contributor on employee incentives in Revenue Law: Principles and Practice (pub. Bloomsbury) and co-author of Chambers and Partners' Venture Capital 2024.
