Career

Sławomir Patkowski, Partner and Deputy Director of the PETERKA & PARTNERS office in Poland is also the Head of the Real Estate Department. His experience allows him to advise on the most crucial and problematic matters, while closely cooperating within the corporate and litigation practice within the CEE region.

Sławomir is Partner and Deputy Director of the PETERKA & PARTNERS office in Poland and is also the Head of the Real Estate Department. His experience allows him to advise on the most crucial and problematic matters, while closely cooperating within the corporate and litigation practice within the CEE region. He has been cooperating with the Warsaw office of PETERKA & PARTNERS since September 2014. Sławomir has over fifteen years of experience in advising clients on all aspects of construction and real estate law.

He heads the PETERKA & PARTNERS Warsaw Real Estate practice and supports the Litigation and M&A/Corporate practices, especially on cross-border transactions.

Sławomir has vast experience in mergers and acquisitions and real estate; he provides comprehensive legal support for acquisitions, the investment process and management concerning real estate, including dealing with the related litigation, administrative, insolvency and corporate issues.

Over the last year, Sławomir handled the following projects:

  • Legal advisory services provided to NKT S.A., the Polish subsidiary of a leading European provider of cable solutions for interconnections, onshore and offshore wind farms, oil and gas platforms, and solar energy, on the acquisition of real property in Poland (asset deal) for the purpose of development of the client’s production facilities. The legal assistance related to acquisition of the real property including limited due diligence, obtaining the relevant consents before acquisition and advisory on the contract of sale of the real property
  • Legal advisory services provided to Plastigram Polska sp. z o.o. – the Polish subsidiary of Plastigram Industries a.s., a leading developer and operator of factories for recycling difficult-to-process wastes based in Prague (Czech Republic) – on the acquisition and potential development of real properties in Poland (asset deal) for the purpose of building a recycling plant in Poland.
  • Legal advisory services provided to a leading European shoe manufacturer and retailer and Mustang Store Poland sp. z o. o. – a worldwide recognized clothes and accessories manufacturer and retailer (Mustang brand). In total, the clients possess several dozen commercial premises in Poland and lease of the premises constitutes a material part of their business.
  • Legal advisory services covering legal assessment of contracts on the provision of construction work with a value of a few million euro each in relation to the construction of power generator and heating units, as well as assisting the client in handling disputes arising in the course of the performance of the contracts.
  • Legal advisory services within an M&A transaction, in particular with regard to due diligence, legal assessment and drafting transactional documentation related to real properties (in particular representation & warranties under transfer agreements);
  • Conducting and supervising of court and administrative proceedings related to real properties including i.a.
  • defending the client’s right to use the real properties on which raw material for the production of innovative fuel is deposited (which is crucial for the client due to the huge amount of raw material deposited on the real properties (exceeding 500,000 tons) and the enormous cost of removing the raw material from the real property),
  • administrative court proceedings regarding recognition of an embassy as a party to an administrative proceeding concerning a construction permit for real property in the near vicinity of the embassy (in this proceeding we obtained an administrative court ruling in which the court recognizes the embassy as a party to the administrative proceeding concerning a construction permit for the real property in the near vicinity of the embassy on the basis of the Vienna Convention on Diplomatic Relations).

In previous years, Sławomir advised i.a. on:

  • acquisition of an enterprise of the world known manufacture and sale of furniture and decorative articles by the Polish subsidiary a major Swedish furniture producer, which included transfer of real property with a factory in Poland.
  • acquisition of land and construction of an industrial warehouse for the Polish subsidiary of Deceuninck, a leading European producer of windows and PCV products;
  • development of production facilities for Paroc Polska sp. z o.o. a Polish branch of one of Europe’s leading manufacturers of energy-efficient and fire-proof insulation solutions, with its seat in Finland, including drafting and negotiating of the contract with contractors,
  • acquisition and development of real properties in Poland for the purposes of the construction of a production plant in Poland for one of Europe’s leading raw materials and intermediate goods producers,
  • acquisition of shares in a Polish company owning industrial facilities in Poland, including due diligence of the real properties and assets of the company to be acquired for a leading Czech heavy industry producer,
  • purchase of real properties in Warsaw (intended for rent) and advisory on templates of documents for the purpose of conducting business in Poland for 1Home, an international student housing rental company.
  • acquisition of land and development of a real property for the purpose of construction of a production plant in Poland for the Polish subsidiary of one of the world’s foremost British manufacturers and suppliers of heat exchanger tubes;
  • a settlement of the construction work contract between the investor – one of the largest producers of door profile and construction systems – and its contractor (the case was amicably settled before a public court).
  • Legal advisory services provided to a leading European shoe manufacturer and retailer) covering legal support on a change of the main warehouse of the group ensuring logistics services for operations within Europe and the EMEA region, advisory included i.a. termination of a large-area (several thousand square metres) warehouse lease agreement and return of the leased premises to the landlord; the advisory related to the new warehouse lease covered i.a. participation in the negotiations of the new lease agreement and legal support in the transfer of the operation to the new warehouse including negotiation of the agreements for providing full equipment (including a raising racking system, MHE, and other devices and IT systems required for operating a large-area warehouse covering internal group deliveries to the whole of Europe).
  • Legal advisory services provided to NKT S.A., the Polish subsidiary of a leading European provider of cable solutions for interconnections, onshore and offshore wind farms, oil and gas platforms, and solar energy, on the acquisition of industrial real properties within insolvency proceedings
    in Poland, advisory included due diligence, communication with the trustee and court on behalf of the client, drafting the offer for acquisition of the real properties within insolvency proceedings, representation in court, and negotiations of the transfer deeds of the real properties.
