Main areas of practice
Banking and finance: advice to credit, financial services institutions and insurance companies across their full range of activities in supervision-related issues and advice on complex financing operations (acquisition finance, syndicated finance, real estate finance, asset finance).

Capital markets and financial services: advice on public M&A transactions and on the issuance and offering of shares and several types of debt instruments, as well as on financial regulatory matters, including the setting up of new regulated entities in Portugal, compliance with prudential and conduct supervisory rules and the structuring, authorization and distribution of all types of collective investment schemes.

Corporate and M&A: corporate advice (corporate governance, corporate finance, corporate reorganizations, day-to-day matters), M&A advice (pre-transaction structuring, legal due diligence, drafting and negotiation of the transaction documents) and private equity advice (support throughout the investment cycle and with the divestment).

Data protection: relevant experience with the implementation of the EU General Data Protection Regulation, focusing essentially on the evaluation of procedures and the development of organizational solutions.

Labor: general advisory to corporate clients on day-to-day human resources issues and on the implementation of large operations, management of individual and collective labor disputes, and assistance with the labor aspects of mergers and acquisitions.

Public law and infrastructure projects: advice on the development of large infrastructure projects in strategic sectors, public procurement, energy and natural resources, environmental law and litigation/arbitration.

Real estate: advice on the structuring of a wide range of real estate and tourism investment transactions, including the setting up of real estate projects’ financing operations, and drafting and negotiation of all kinds of real estate agreements.

Tax: advice on international and domestic tax planning matters – encompassing both inbound and outbound transactions –, public and private M&A, corporate restructuring, real estate deals, debt restructurings and tax controversy.

Litigation, restructuring and insolvency: fully integrated litigation services before courts and arbitration tribunals, representing domestic and international players in multiple and complex disputes, both from a domestic and international nature. The litigation, restructuring and insolvency team also has a vast experience in company insolvencies and restructuring proceedings. 

Managed legal services: offers solutions for clients who are looking for more efficient and pragmatic legal assistance, including technology-enabled solutions such as automation for high-volume repetitive or event-driven legal work.
