Prof. Marcello Pollio of bureau Plattner, as independent professional, has drawn up the attestation report of the debt restructuring agreement of Newspaper Milano S.r.l. submitted pursuant to article 182 bis of the bankruptcy law.

The Court of Milan decided to approve the debt restructuring agreement with a decree dated July 22, 2021, acknowledging the lack of adhesion of the social security and tax authorities, basing its judgment on the completeness and adequacy of the independent professional's attestation.

Unifiedpost Group acquires Digithera — 03/2021

Unifiedpost Group (Euronext: UPG), a leading European group in the fintech sector listed on Euronext, has acquired Digithera, a Milan-based company that manages electronic invoicing and document transmission services for small and medium-sized enterprises.

Unifiedpost Group has been assisted for all tax aspects by bureau Plattner, with a team led by partner Massimo Petrucci, assisted by professionals Andrea Rabolini and Dafne Bertoncello. The Belgian firm Moore dealt with the financial aspects of the operation. Rome, January 11, 2020 – the international law firm Gianni & Origoni has assisted Delfingen SA, a company listed on the Paris Stock Exchange, in the acquisition of the remaining 51% of shares of Schlemmer Italia S.r.l. – a company that produces plastic tubes for the coating of cables and harnesses, as well as injection molded items mainly for the automotive sector – by I-Automotive S.r.l., a company belonging to the Intercable Group, assisted by bureau Plattner.

Fenner Precision Polymers, a Michelin Group company and world leader in reinforced polymer technology, assisted by DLA Piper for legal aspects and by EY Advisory for financial and fiscal aspects, acquired 100% of the shares of MAV S.p.A., a leading European supplier of friction locking devices (tension clamps), shrink discs, rigid joints and other metal products, whose shareholders were assisted by bureau Plattner for legal aspects and by Fante Group for financial aspects.

Alpine Metal Tech GmbH acquires 100% of the share capital of the Italian company IMT Intermato S.p.A. — 07/2020

The Parties have overcome all the limitations caused by Covid 19 and the Closing took place on July 27th 2020.

Alpine Metal Tech GmbH acquires 100% of the share capital of the Italian company IMT Intermato S.p.A. — 02/2020

Alpine Metal Tech GmbH forms part of the Montana Tech Components Group, an Austrian industrial group that focuses on innovative technologies such as energy storage, aeronautical components, special machinery for the metallurgical industry and industrial components. Montana Tech Components achieved a turnover of over Euro 2.100 million in 2018 and is the owner of Varta A.G. as well as partner of Aluflexpack (a company listed on the Zurich Stock Exchange with a capitalization of Euro 328 billion).

IMT Intermato S.p.A. is worldwide leader in the production of vertical lathes for manufacturing light alloy car wheels with turnkey solutions. IMT Intermato S.p.A. achieved in 2018 a turnover of Euro 60 million and an EBITDA of Euro 12.2 million.

Closing is expected in the coming weeks.

Italian managed, and controlled by Canadian investment funds, the company has clients all over the world and offices in Europe, North America and Asia.

bureau Plattner assisted Deren Europe Investment Holding, a company of the Chinese group Deren, and Mepa Investment Services Limited, for the investment of Mutares into Plati Elettroforniture, a company based in Madone, Bergamo, manufacturer and distributor of wires and connectors in the automotive, consumer, industrial, household appliances, medical, and telecommunications businesses, with 850 employees, five locations and more than 38 million euros in turnover. The closing will take place by June 2019.

bureau Plattner with Solis in the issuance of green bonds — 07/2018

Solis S.r.l. announced the issuance of bonds listed on the “Green” segment of ExtraMOT PRO of Borsa Italiana (green bond), subscribed by Foresight Green Bond Fund for an amount of 5.4 million euros, aimed at refinancing the costs of construction of a cogeneration plant.

The plant is located in Piemonte, in the municipality of Settimo Torinese, and recovers the thermal energy produced by the generation of electricity, ensuring energy efficiency and a significant reduction in consumption. The plant feeds the heating network of the Municipality of Settimo Torinese reaching 7,000 homes, as well as various public and private entities in the area and is able to process up to 18,000 tons of virgin woody biomass per year, generating 22 MWh of renewable energy and 85 MWh of thermal energy daily.

bureau Plattner assisted Aide Energy Europe B.V., a company of the Panjit group in Taiwan, in the agreements for the cession of two companies owning two photovoltaic plants in Italy to Pacifico Energy Partners in Munich.

The plants owned by the companies being sold have a total capacity of about 2 MW.
