Background

Ciara joined KPMG in 1998, completed her training with the firm and was promoted to Director in November 2017. Ciara has in excess of 15 years’ experience as a Chartered Secretary working with a range of Irish and multinational clients advising on Irish company law and corporate governance matters. She also leads the delivery of company secretarial services to clients with UK subsidiaries.

Professional and industry experience 

More specifically, Ciara has extensive experience assisting clients in the following areas:

Branch Registration and ongoing compliance – advices in relation to the requirements to register an Irish branch of a German registered pharmaceutical company tax resident in Ireland, including drafting of documentation and assistance with documentation to accompany the branch application, assistance with board meetings held in Ireland and preparation of annual statutory forms. Dividend distributions – advice on requirements to make lawful dividend distributions and preparation of documentation, including relevant board minutes and dividend withholding tax vouchers, for a privately owned betting group. Board and shareholder changes – advised on and implemented board changes and intra-group share transfers across group subsidiaries for a privately owned pharmaceutical group, including advices on relevant provisions in the Articles of Association, preparation of all documentation to effect the changes, updating statutory registers. Group Reorganisation to minimise shareholder liabilities – insertion of limited liability companies as nominee shareholders in unlimited liability companies to reduce individual shareholder liabilities in a privately owned investment holding group. Stamp duty relief applications – advices in relation to relief from liability to stamp duty for associated companies and preparation of relevant documentation underlying an application for relief for a large international shipping company. Intra group re-organisations of business – implemented sale of subsidiaries in a privately owned engineering group to a new holding company, including liaison with the group’s legal advisors and tax advisors. Incorporation of Irish companies – detailed advices, guidance and preparation of documentation in relation to the incorporation of an Irish subsidiary of a Japanese based leasing company.

Ciara advises clients operating in the manufacturing, retail and distribution sectors, particularly food production and pharmaceuticals.
