Professional Experience

More specifically, Ronan has extensive experience assisting clients in the following areas:

Corporate Governance Board Support for a number of international clients, particularly those operating in the aircraft leasing and pharmaceutical industries Company law compliance obligations – advising on annual return and financial statements filing requirements & deadlines, Companies Office filing requirements arising from various company and officer changes, advising on company law requirements regarding the drafting of minutes to document decisions made & actions taken by companies and their officers. Group Restructurings - transfer of subsidiaries arising out of a Group Reorganisation Entity Reduction Projects –implementation of balance sheet wind downs for dormant companies that are no longer required in advance of making voluntary applications for dissolution Company Formations/Branch Registrations – establishment of new corporate entities Company Re-registrations – conversion of companies into a different company type for a variety of reasons, to include availing of accounts non-disclosure provisions, the return of surplus capital to shareholders and to afford limited liability protection to shareholders Share Capital – share allotments, share transfers, share redemptions & cancellations, share buy-backs Alteration of share class rights and share allotments for a variety of reasons including the facilitation of intra-Group lending and for accounts consolidation purposes Stamp Duty Relief Applications – for ‘associated companies’ relief, Reconstructions & Amalgamations and Mergers
