Background

Michael has over 15 years experience of corporate and commercial law with two leading international law firms in Ireland.  He has advised both international and domestic clients on a broad range of projects involving Irish corporate and commercial law matters.

Professional Experience

More specifically, Michael has provided legal advice in the following areas:

Corporate and Debt Structuring: legal support in relation to group structuring projects including pre and post acquisition reorganisations, domestic and cross-border mergers, group entity simplifications and debt and finance structuring. Commercial Contracting: advice and assistance in relation to arm’s length and intra-group IP / software licensing, sales, agency and distribution arrangements. Investment Arrangements: advising in relation to joint venture arrangements, investment and shareholders agreements. Corporate Governance and Compliance: legal advice and assistance in relation to corporate compliance and directors’ duties Mergers and Acquisitions: advice and assistance in relation to the sale and purchase of businesses across a variety of sectors.

Recent projects on which Michael has advised include the following:

Advice and assistance to a major Irish retailer in relation to a highly complex group simplification project involving multiple mergers to optimise group commercial privacy Legal advice and assistance to an Irish headquartered fintech company on its commercial contracting arrangements with client banks across Europe, the Middle East and Africa Legal advice and assistance to a US owned technology group in relation to its global licencing arrangements Advice and assistance to a major Irish meat producer in relation to the post acquisition structuring and integration of a competitor’s business and commercial contracting matters
