Islamabad Diagnostic Centre (Private) Limited (IDC)

We advised IDC and the indirect fifty percent (50%) remaining shareholders of IDC, relating to the sale of the indirect fifty percent stake in IDC, from the Evercare group (a market healthcare delivery platform managed by the Texas Pacific Group (TPG) and backed by The Rise Fund) by Integrated Diagnostic Holding (IDH) for a deal value of USD 72.35 Million (adjustable at completion of the transaction).

Pakistan Mobile Communications Limited (Jazz)

The Firm has acted as counsel for Jazz on the acquisition of an over-the-air video streaming and live channel streaming platform from Convex Interactive, for a deal value of Rs 520m.

Pakistan Mobile Communications Limited (Jazz)

The Firm was engaged by Jazz to act as Pakistani counsel on the structuring and implementation of a relationship between Jazz (being VEON’s cellular mobile operator in Pakistan) and Turkey’s leading digital operator Turkcell, for the collaboration and deployment of the BiP instant free communication and life platform in Pakistan.

VEON Ventures B.V. (VEON)

Legal Oracles was engaged by VEON Ventures to act a Pakistani counsel for a USD 15 Million Series an investment in Dastgyr, a Pakistan-based B2B e-commerce marketplace platform, which has been successfully completed.

VAVA Cars Pakistan (Private) Limited (VAVA)

Legal Oracles was engaged to design and structure the Pakistan operations for VAVA Cars, a venture of the Dutch energy group Vitol, for the deployment of their online platforms for buying and selling cars. The Firm provided extensive corporate and commercial support to VAVA to structure their agreement(s) with all third-party operators (including but not limited to repair service providers, vehicle handling staff, auction managers, third-party sellers, lessors etc.).

Xiaomi Pakistan (Private) Limited (Xiaomi)

The Firm has been advising Xiaomi on a wide spectrum of corporate and commercial matters, including regulatory compliance advise, anti-trust and competition matters, operational and management affairs, labour and human resource harmonization of Xiaomi’s global policies with its subsidiary company in Pakistan in view of the local applicable laws, distribution network structuring, commission structure and its distribution model, export control advisory, equity registrations etc.

Delivery Hero Pakistan (Private) Limited (foodpanda)

The Firm continues to advise foodpanda on matters including but not limited to; equity registrations, introduction of a financial technology business model, conversion to a buy now pay later model, foreign exchange controls, import controls, regulatory compliance, corporate advisory, rider management system analysis, legal compliance, HR advisory on different employment models available to foodpanda, advisory on loan to equity conversions, intellectual property etc.

Roomy Hotels (Private) Limited (Roomy)

The Firm has been engaged by Roomy to provide corporate and commercial advice on several matters including, the designing and structuring of management services agreements to be entered into between Roomy and property owners, lease agreement(s) for operational hotels, and revenue sharing agreement(s) with different owners, operators and service providers.

Ecofin Technologies (Private) Limited (Ecofin)

Ecofin is the pioneer financial technology company in Pakistan which has developed a White Labelled Agent Management System that is being offered through a digital platform/portal/application known as “JORR”. We have been advising Ecofin on matters including but not limited to; structuring of business, advisory on shareholder matters, corporate structuring, intellectual property portfolio centralization from being shareholder owned to entity owned, employment, contract negotiations, integration agreements with different financial institutions providing branchless banking services.

Alliances Textile Mills Limited (ATML)

ATML partnered with one of the largest real estate developers in Pakistan to develop a real estate project including residential and commercial plots and/or multistorey building. The Firm acted as counsels for the parties in structuring of the proposed business, distribution of land and financial structuring model for the partners.

Gaayewala Farms (Gaayewala)

The Firm in the First Phase advised and assisted the Client in the process of land acquisition, equipment purchases and procurement of Holstein Friesian Cows from Netherlands and advised on compliances with the regulatory requirements with regards to imports of livestock imports and production & sales of dairy products in Pakistan and in the province of Khyber Pakhtunkhwa. The Firm has been involved in negotiating and drafting of various project documents including finance documents for the project.
