Career

Vincci has an impressive track record on handling complex projects and clients depend upon her. She has played a pivotal role in many of the funds, compliance and regulatory matters she has worked on, and has assisted well-known international and local investment managers, trustees and custodians. She manages complex regulatory approvals processes. Vincci has an in-depth understanding of Hong Kong’s Securities and Futures Commission (SFC) and Mandatory Provident Fund Schemes Authority regulations.

In addition, she assists clients in establishing and obtaining the SFC’s authorisation of collective investment schemes (CIS) including Hong Kong domiciled unit trusts, Hong Kong open-ended fund companies, UCITS, and prepares documentation and advice. She advises on matters relating to ongoing compliance issues for SFC licensed corporations and representatives, SFC-authorised CIS and marketing of SFC-authorised CIS in Hong Kong. She also advises clients on legal and regulatory matters in relation to approved pooled investment funds (APIFs), MPF schemes and has advised trustees, custodians and other service providers of CIS on their regulatory obligations.

Highlights

Assisted a prominent global asset manager in seeking SFC’s authorisation of a Hong Kong open-ended fund company. Assisted an international asset manager in obtaining SFC authorisation of various new ESG funds and transiting its existing SFC-authorised funds into SFC-approved ESG funds. Advised a substantial international manager on the Hong Kong regulatory implications of its SFC-authorised Irish fund ranges following its £390 million acquisition by a leading investment manager. Advised trustees of special purpose acquisition companies on escrow account operation and prepared relevant documentation. Assisting clients in establishing and seeking SFC’s authorisation of collective investment schemes in Hong Kong for retail distribution, preparing and reviewing relevant documentation. Advising on matters relating to ongoing compliance issues for SFC licensed corporations and representatives, SFC-authorised collective investment schemes, and marketing of SFC-authorised collective investment schemes in Hong Kong. Advising trustees, custodians and administrators on their regulatory obligations, preparing and reviewing relevant documentation. Drafting and reviewing of fund related agreements. Advising clients on legal and regulatory matters in relation to Hong Kong Mandatory Provident Fund.
