Career
Fina joined ABNR in 2007 and was made partner in January 2019. She focuses her practice on project finance & development (with emphasis on the power sector), mergers & acquisitions (M&A) and foreign direct investment (FDI).
In project finance & development, she has extensive experience advising lenders and sponsors on power-project financings, including related risk analyses and all aspects of the Indonesian regulatory regime. Over the years, she has been involved in many of Indonesia’s largest power projects, including the Paiton Expansion Project, Tanjung Jati B Expansion Project, Sarulla Project, Wampu Hydroelectric Project, Semangka Hydroelectric Project, Central Java PPP Project, Cirebon Expansion Project, Tanjung Jati B 5 & 6 project, and the Muara Laboh and Rantau Dedap Geothermal projects.
She is a key member of the ABNR teams currently assisting potential sponsors for the recently initiated Peusangan 4 Hydro Peaker Power Plant Project and the Siborpa Hydro Power Plant Project, and continues to advise the project company on the ongoing development of the USD 3-billion Java 9 & 10 Power-Plant Project, and the lenders (including JBIC, NEXI and K-EXIM) on the ongoing USD 1.74-billion Cirebon Expansion Project.
She is also a member of the ABNR team advising the project company developing the groundbreaking USD 550-million tidal power plant and floating bridge at Palmerah, East Nusa Tenggara province - this is the first tidal power project in Indonesia and is believed to be the largest in the world at the present time.
In other infrastructure sectors, she was a member of the ABNR team that recently advised a consortium of domestic and international lenders for the USD 1.846-billion “Trustee Borrowing Scheme Financing” provided to PT Pertamina EP Cepu (a wholly owned subsidiary of Indonesia’s state energy company, PT Pertamina Persero) for the development of the Jambaran-Tiung Biru gas project -- the financing consisted of a USD 1,746,400,000 conventional facility and USD 100,000,000 Shariah-based Wakala facility.
She is currently assisting PT Kereta Cepat Indonesia China (the project company for the development of the USD 5.9-billion Jakarta-Bandung High Speed Rail Project), on the conducting of a retrospective review of the EPC contract and retrospective limited due diligence on the China-based members of the project consortium, and their capacities and authorizations to sign the EPC contract.
In mergers & acquisitions (M&A), Fina was a member of the ABNR team that handled the Indonesian aspects of Global Infrastructure Partners’ USD 5-billion acquisition of Equis Energy in 2018, the largest renewable energy deal ever -- in Indonesia, the Equis assets covered by the deal consisted of eight renewable energy projects that were either under construction or were shovel ready.
In foreign direct investment (FDI), she advises across the entire spectrum of FDI law in Indonesia, including the Negative List (a comprehensive list of sectors that are fully open, partly open or fully closed to FDI), the legal requirements for the establishment of an FDI company, documentation, the use of the OSS (Online Single Submission System – Indonesia’s new online system for corporate licensing and approvals), accessing special facilities and incentives, regulatory and compliance issues, and all aspects related to doing business as a foreign investor in Indonesia.
Fina, who holds an LL.M in international business law from Tilburg University in the Netherlands, is recognized by IFLR 1000 as a “Notable Practitioner” for Project Finance.
