  1. Acted as PRC legal counsel to Philips in its disposal of domestic appliances business to Hillhouse Capital, involving a total deal value of approximately €4.4 billion.
  2. Represented National Integrated Circuit Fund, Puluo Huajin and Goldstone Investment in its approximately RMB 2 billion equity investment in Zhuhai Aipaike Microelectronics Co., Ltd., a subsidiary of the A-share-listed company Ninestar Co. Ltd.
  3. Represented a consortium consisting of Warburg Pincus, General Atlantic, Ocean Link and Mr. Yao Jinbo in the take-private transaction of 58.Com Inc. The transaction implies an equity value of the company of US$8.7billion.
  4. SMIC's SSE STAR Market listing, the 1st IPO on the STAR Market for an overseas listed company with red-chip structure.
  5. Represented JW (Cayman) Therapeutics Co., Ltd., a Wuxi series’ Cart-T biotech company, in its Hong Kong listing.
  6. China state-owned Capital VC Fund Co, Ltd in a shareholder dispute before the Mainland court, which will serve as new precedent for cases where shareholders make performance guarantees.
  7. Represented Michael Jordan in a series of cases against Qiaodan Sports Company for its registration of Mr. Jordan’s name as company name and trademarks. The court ordered Qiaodan Sports Company to change its name and pay compensation and damages for mental distress.
  8. Represented Apple in disputes against Qualcomm arising from a SEP licensing scheme, which involved more than 30 cases. The damages claimed by the parties exceeded RMB1.6 billion. This is widely regarded as China’s trial of the century.
  9. Assisted J.P. Morgan to fully acquire JPM Futures, the first wholly foreign-owned futures company in China.
  10. We secured unconditional clearance from SAMR for the proposed US$1.6 billion merger between Korea’s shipbuilders KSOE and DSME to create the world’s largest shipbuilder. The review bisected competition and industrial policy issues unique to China. The clearance followed an extensive review of nearly 17 months, which represents one of the longest reviews undertaken by SAMR.
  11. Appointed joint administrator in the bankruptcy liquidation of CEFC Shanghai, with total debts of RMB200 billion. This the first Mainland bankruptcy proceedings recognized in Hong Kong SAR.
  12. We represented a leading US public company with an APAC subsidiary listed in Hong Kong in a series of complex internal investigations. Our investigations revealed complex schemes of fraud resulting in the employment termination of three APAC senior management members and a team of other management/employees. We also assisted the client in evaluating civil, criminal, and administrative actions against the implicated employees, successfully eliminating threats from the terminated senior management members.
  13. Represented China Cinda Asset Management in the debt restructuring of Chongqing Lifan Group and Xinlong Group.
  14. Acted for Brookfield Asset Management on its acquisition of a set of five Mosaic - branded malls with a possession of a portfolio that measures 260,000 square meters of gross leasable area, which is China’s biggest retail real estate acquisition since the dawn of the COVID-19 pandemic.
