Position

Before returning to Herrington Carmichael LLP in August 2012, Mark worked as legal counsel at Acromas (which at that time owned and operated the Automobile Association (the AA), Saga and British School of Motoring (BSM) brands) and as legal counsel responsible for Europe, Middle East, Africa and India at Apple (designer and manufacturer of iPhone, iPad and iPod). Mark has extensive experience advising on a variety of corporate and commercial matters, both in house and in private practice, with a particular focus on high end commercial, financial services and consumer law matters. Career highlights: commercial: advising household brand on contracts with global vehicle manufacturer. To include advice on customer terms and conditions and associated literature. Contract value £80m. Advising household brand on contracts with global sports car manufacturer. To include advice on customer terms and conditions and associated literature. Contract value £10m. Financial services: review of pension scheme trust deed and rules for scheme with circa-£120m funds under management, advice on recent legislative changes and drafting deed of variation to update the scheme. Advice on regulated activities, financial promotion rules, prospectus directive requirements and collective investment schemes in relation to £4m alternative fundraising scheme. Consumer law: advising on product safety matters, the positioning of EU wide product replacement programs and associated reporting obligations, and responding to questions from competent authorities. Provision of strategic advice on pan-European consumer law claims filed by 12 consumer authorities acting in concert and drafting and advising upon action plan. Corporate: acting for property development company on corporate aspects of its acquisition of a property owning company (SPV) for £12.5m. Advising high street bank on £2.5m loan to US company, to include advising on enforceability of the bank’s security in light of Slavenburg entries discovered as part of our legal due diligence exercise.
