Career

Jia Hui specialises in asset financing and leasing work, with emphasis in the aviation and shipping industries. Jia Hui and her team regularly represents commercial airlines, financial institutions, lessors and credit support providers in lease and finance transactions as well as related regulatory matters. Jia Hui’s transaction experience includes cross border secured debt financing transactions, export credit agency supported financings, finance and operating leases, sale and leaseback transactions, equity investments, new and used aircraft acquisitions and corporate jet transactions. She also has extensive experience in banking and finance related matters, including syndicated loan transactions, securitisations, loan and financing restructuring work and the issuance of debt capital market instruments (bonds, sukuk) in both conventional and Islamic structures.

Insofar as shipping work is concerned, Jia Hui has advised shipowners, financiers and leasing companies on various shipping matters including financing, registration, creation of security, registration of mortgage and related regulatory issues.

PERSONAL INVOLVEMENTS (KEY PROJECTS):ww

Acting for a leading low cost carrier in its sale of a portfolio of aircraft to a private equity group. Acting for various financial institutions and global leasing companies in the financing and leasing of up to 100 new aircraft by a leading low cost carrier. Acting for a Malaysian based airline in its inaugural issuance of bank-guaranteed Islamic Medium-Term Notes programme of up to RM500 million under the Ijarah principle. Advised various international lessors and financiers in relation to the restructuring of the financing and leasing arrangements for approximately 40 aircraft operated by a Malaysian based airline and its related companies. Advised on the sale and purchase and inaugural asset-backed securitisation featuring securitised debt, with equity sourced from the Japanese Operating Lease market on behalf of JP Lease. Advised some of the largest leasing companies globally in the restructuring of their leases to Malaysian operators following the implementation of the “substance requirements” regulations for leasing companies in the Federal Territory of Labuan. Advised various creditors on the implementation of the Malaysian Airline System Berhad (Administration) Act 2016. Advised on the implementation of the Cape Town Convention in Malaysia.
