DSK Legal Advises Captain Fresh on its Series B Fund Raise of USD 40 Million
DSK Legal advised Infifresh Foods Private Limited (“Infifresh”), a company engaged in the business of processing, preservation and supply of fresh sea food and various categories of meat and is operating through its e-commerce platform named “Captain Fresh” on B2B basis to cater to online retail players, modern trade, general trade retailers and hotels and restaurants catering; and its Founder, Mr. Utham Gowda(“Founder”) in relation to their Series B Round from the lead investors (i) Tiger Global; and (ii) Prosus Ventures (Naspers) and existing investors (i) Accel Partners; (ii) Matrix Partners; (ii) Ankur Capital Fund; and (iv) Incubate Japan (“Series B Investors”).
The scope of work of DSK Legal included: (i) advising on overall structure for the transaction; (ii) assisting Infifresh in the due diligence process being conducted by the Series B Investors; (iii) drafting, revising, negotiating and finalising of Transaction Documents executed between Infifresh, its Founder and Series B Investors; and (iv) assisting in completing conditions precedent and closing process of the transaction (including corporate secretarial actions).
This is the fourth successful fund-raising exercise completed by DSK Legal for Infifresh since its incorporation in June 2020.
DSK Legal represented Infifresh & the Founder and team for the above transaction was led by Associate Partner, Mr. Jayesh Kothari; Associate, Ms. Hemanshi Gala and Associate, Mr. Kunal Chopra. Partner, Mr. Hemang Parekh provided crucial inputs on the transaction.
