Principal - Corporate & Commercial

Toby is a Principal in our Corporate & Commercial team with more than 20 years’ experience advising on a broad range of corporate and commercial matters.  

He has deep expertise in mergers and acquisitions and capital markets, having advised on hundreds of deals – both within Australia and cross-border – over the course of his career.  

Toby acts for clients across various industries, including technology, resources, transport and financial services. Examples of deals where Toby has acted include:  

Acting for ASX listed company Austral Gold Ltd (ASX: AGD), which sold to E2 Metals Limited (ASX: E2M) all of the shares in SCRN Properties Limited a Canadian company holding 100% ownership of the mineral claims that make up the Pinguino project silver and gold assets based in Argentina.  Acting for Mitsubishi Australia Limited in its asset sale of the MAXtend business to former management.  The MAXtend system allows control of gas levels in shipping containers which extends the life of perishables such as bananas and avocados during transport by shipping carriers.  Acting for the founders of Marstel Holdings Pty Limited (Marstel Terminals), a trans-Tasman bulk liquid storage company, in the staged acquisition of 70% of the shares in Marstel (NZ and Australia) by Stolt Nielson Limited.  Acting for C3 in its 100% share acquisition by EY.  C3 (now EYC3) who is an Australian advanced analytics firm with capabilities across information management, business intelligence, AI and machine learning.  Advising on an off-market takeover bid by the bidder for Liquefied Natural Gas Limited, listed on ASX.  Acting for MetaPM in the successful sale to Alten Group (a French listed leader in engineering and technology consulting with over 46,000 employees around the world) seeking to expand its presence into Australia.  Acting for Express Travel Group Pty Ltd in the asset acquisition of First Travel Group Limited. Express Travel Group Pty Ltd is an Australian based travel company and First Travel Group is a New Zealand based travel company and travel agency franchise. As part of this acquisition, Express Travel Group Pty Ltd acquired all of First Travel Group’s franchises. 

In addition to senior in-house counsel experience and establishing his own firm, Toby has been seconded to the legal team of Australia’s largest telco, and spent 7 years working with capital markets regulators. This included Toby co-managing the legal and market supervision teams at the New Zealand Stock Exchange (NZX), proving legal advice to the wholly owned funds management company Smartshares and acting as convenor of the Listing Subcommittee.  

Toby is also a board member of an incorporated association that champions emerging technologies.  This is an area where Toby has observed an increasing number of clients facing challenges.  

All of these experiences afford valuable insights into key issues faced by today’s businesses and continue to inform how Toby advises his clients.  

In additional to his law qualifications, Toby holds a Masters in Applied Finance and a Bachelor of Arts (Honours) in Political Science. He was admitted to practice in Victoria in 2008 and New Zealand in 1999.
