Shareholder and director disputes

Shareholder and director disputes are Alex's specialist area blending company law with knowledge of the court system which is used to find a resolution.  When a dispute crops up this causes problems especially where the company is held equally between two shareholder/directors.

Disputes between shareholders or directors can be fraught at the best of times, especially if the relationship was poorly defined because of inadequate  articles of association or a badly drafted shareholders agreement.  Alex is  familiar with the issues which arise during these disputes.

Employment disputes

Employees are almost always a businesses’ most valuable asset and its most considerable cost. Alex represents both employers and employees in a variety of situations including changes to employment contracts, wrongful or unfair dismissal, restrictive covenants and redundancy. All his work has the ultimate aim of avoiding a trip to the  Employment Tribunal. Most employment disputes end in a settlement, and Alex is experienced in dealing with settlement agreements from both sides of the employment relationship.

He is particularly interested in cases where employment intersects with company law; where a director is also an employee, or where a worker has been grated shares or options in a company prior to dismissal.

Protection of IP

Protecting copyright, a trademark or the goodwill of a business requires nothing less than swift, decisive action is a must.  Alex is experienced in dealing with breach of copyright, trademark infringement and passing off claims.

Partnership Disputes

Where partners disagree there is often no clear way of resolving the dispute. I have helped manage partnership disputes in a wide variety of sectors, from lawyers and accountants to recruitment agents, funeral directors and vets. Each case is different and highly-fact specific, as there is no “right” way to form a partnership.
