Career
Simon heads Ogier's BVI law in Europe team from the firm's Jersey office – his practice covers investment funds, cross border and multi-jurisdictional mergers & acquisitions, corporate finance, and equity capital markets.
He has more than 25 years' experience as a corporate and finance lawyer in London, BVI and Jersey.
He practices BVI law from Ogier's Jersey office – prior to relocating to the firm's Jersey office in 2015, he spent 11 years based in the firm's BVI office.
During his time in the BVI, Simon was Chairman of the BVI Investment Funds Association and Chairman of the BVI's Securities, Investment Business and Mutual Funds Advisory Committee, a committee established by the BVI Financial Services Commission to keep the Securities and Investment Business Act and other enactments relevant to securities, investment business and funds under review.
Simon advises on transactions in relation to investment structures, and on the formation of investment funds and structures across a broad range of asset classes, including hedge, real estate, private equity and digital assets.
He advises on multi-jurisdictional mergers & acquisitions; corporate finance; equity capital markets including listings of special purpose acquisition companies (SPACs) and joint ventures. His clients include international corporate and investment managers, banks and UHNWIs.
Simon is one of the leading BVI regulatory lawyers – from Jersey he frequently advises European based trust companies and financial services providers on BVI legal and regulatory matters. In particular, he advises on regulatory applications to the BVI Financial Services Commission arising out of financial services M&A and matters relating developments in the BVI's regulatory regime. Simon also advises on economic substance.
Simon is part of Ogier's multi-disciplinary Private Equity team. He specialises in both the formation of private equity and real estate funds, co-investment vehicles, parallel funds and carried interest vehicles and the acquisition and disposals made by such funds, including the structuring of vehicles for these purposes and exits through IPOs.
Simon is also part of Ogier's multi-disciplinary Restructuring & Insolvency team. He specialises in refinancings, corporate restructuring and reorganisations and distressed funds and private equity, with experience in investor and shareholder rights/ actions and member and creditor schemes of arrangement.Before Ogier, Simon practised at Lovells (now Hogan Lovells) in London. He attended the University of Southampton and graduated with a BSc in Economics and Politics in 1994. Simon then went on to take the CPE in 1995 and LPC in 1996 at the College of Law, London.
