Senior member in the Dallas Office Corporate Department. Represents public and private companies in merger and acquisition and capital market transactions. Counsels companies, boards of directors and board committees in connection with transactional and governance matters, fiduciary duties, Sarbanes-Oxley and Dodd-Frank compliance, securities law disclosure matters, and activist shareholder situations. Also represents clients in connection with SEC and other governmental investigations. A periodic speaker on legal issues at continuing legal education events.
