Career
Mr. Vivanco has 24 years of experience and he specializes in banking regulatory, derivatives, and project financing.
He has a long experience in structuring, negotiating and documenting financial transactions, and tailoring such transactions to clients’ legal, regulatory and business requirements.
Practice Focus Mr. Vivanco has acted for banks, merchants and other financial institutions, as well as for corporate users of credit in all types of banking and finance transactions and matters in Chile. Representative Legal Matters: Advised Capstone Copper Corp., as borrower, in the amendment and extension of Capstone corporate revolving credit facility up to USD 600 million with Canadian Imperial Bank of Commerce, The Bank of Nova Scotia, ING Capital LLC, National Bank of Canada, Wells Fargo Bank, N.A., Canadian Branch, Citibank N.A., Bank of Montreal and Royal Bank of Canada (as lenders). Advised Scotiabank Chile in the refinancing of loans granted by Banco de Sabadell S.A., Miami Branch and Scotiabank Chile to Transchile Charrúa Transmisión S.A. and the increase of the loan facility up to USD 115 million. Transchile Charrúa Transmisión S.A. owns and operates the 2x220kV power transmission line with a length of approximately 204 kilometers. Advised PNC Bank, N.A in a USD 6.2 million medium-term loan insured by the Export-Import Bank for the purchase of forklift equipment granted to the Colombian company Royal Rental Colombia S.A.S. and secured by guarantees of Multitecnica S.A. and Arrendamiento de Máquinas Royal Rental S.A. Advised Société Générale, as lender, in a USD 29.5 million refinancing between Su-Bus Chile S.A., one of the operators of the Santiago Public Transportation System, (as lessee) and Arrendamiento Mercantil S.A. (as lessor) of 200 diesel Volvo buses. Advised Natixis, New York Branch (as Coordinating Mandated Lead Arranger, Structuring Bank, Administrative Agent and the Green Loan Coordinator) and Banco Bilbao Vizcaya Argentaria, S.A. New York Branch (as Mandated Lead Arranger) on an approximately USD 146 million credit agreement to finance the development, construction, ownership and operation of the Centella and Tap Mauro power transmission line projects in Chile by Centella Transmisión, S.A., a subsidiary of Ferrovial S.A. The credit facility is intended to be categorized as a green loan in accordance with the green loan principles.
