Jennifer’s practice is concentrated in corporate and securities law, including advising public companies on SEC reporting compliance and Section 16 matters, as well as evolving corporate governance requirements and practices.  She regularly represents issuers in initial public offerings, follow-on offerings of equity and debt, private investments in public equity (PIPEs), registered direct offerings, tender and exchange offers and other public and private securities transactions.  Jennifer also has a substantial background in mergers and acquisitions and general corporate representation, and has advised companies in the telecommunications, financial services, retail, health care, energy and mining sectors in North America and Europe.
