Antitrust & Competition:
The practice works with the firm’s corporate and litigation practices to provide counsel on core areas, including the global regulation of M&A, government and criminal investigations, and risk management and compliance.

Asset Management:
The practice advises on hedge funds, private equity/buyout funds, credit funds, real estate funds, infrastructure funds, hybrid funds and also mezzanine funds and related products. It also handles compliance and regulatory issues and covers the full spectrum of derivatives products.

Capital Markets:

The practice advises clients on complex and innovative corporate structures and cross-border transactions, representing the full spectrum of international market participants, including issuers, underwriters, investors, stockholders, initial purchasers and dealer-managers.

Finance:
The practice represents private equity sponsors, corporations, lead arrangers, direct lenders and investment vehicles in connection with acquisition financing, recapitalisation, fund-level financing and debt restructuring.

M&A and Private Equity:

The practice represents the full spectrum of players, including public and private corporations, private equity firms and investment banks on complex transactions including private M&A, public company mergers, spin-off / split-off transactions, takeover defence, proxy contests, and restructuring transactions. The practice is active in various aspects of private equity transactions and regularly provides counsel to prominent fund sponsors and investors on the full range of their investment-related activities, including fund formations, leveraged buyouts, consortium bids, syndications and exit strategies.

Real Estate:
The practice counsels clients in all facets of real estate transactions, including acquisitions and dispositions of real estate properties, portfolios and companies; joint ventures and structured investments; real estate finance; real estate funds; complex leasing arrangements and property advisory work; and restructuring of distressed real estate.

Restructuring & Insolvency:
The practice represents clients in both formal bankruptcies/insolvencies and out-of-court restructurings. Representing both debtors and creditors, the firm counsels and formulates strategies on insolvency, creditors’ rights and commercial law issues.

Tax:
The practice has a wealth of experience of corporate transactional work, including mergers, acquisitions and dispositions, spin-offs and joint ventures. It includes hedge fund and private equity fund formations, tax issues associated with financings, real estate transactions, bankruptcy and restructuring matters, and international tax planning.
