Porter Hedges LLP advises an array of major public and private E&P companies, private equity funds, and midstream and downstream companies for a wide range of oil and gas transactions. In addition to its expertise in advising on complex oil and gas acquisitions and divestitures, both conventional and unconventional, the team is also recognized as a major player in managing carbon sequestration agreements and transactions. Energy transactions: Porter Hedges provides clients with a cross-practice team of attorneys who have handled more than $200 billion in energy transactions across the full spectrum of the oil and gas industry.
Corporate/M&A: The firm counsels public and private companies ranging in size from NYSE-listed companies to start-ups on public and private offerings of equity and debt securities, M&A, venture capital financings, private placements, joint ventures, and exchange offers.
Litigation: Porter Hedges’ trial lawyers have both the experience and resources to meet the complex litigation needs of large national and multinational corporations, as well as those of small to mid-sized companies and individuals, from pre-litigation negotiation through appeal.
Commercial lending and finance: The firm’s practice is focused on the middle market and crosses many industries. The firm advises financial institution clients, such as lenders, corporate trustees, collateral agents, issuers, underwriters, and credit enhancers.
Bankruptcy: Porter Hedges represents debtors, creditors, trustees, creditors’ committees, institutional lenders, and investors in connection with out-of-court debt restructurings, acquisitions and financings, in addition to Chapter 7, 9, and 11 bankruptcy cases.
Construction: The firm represents contractors, public and private owners, developers, lenders, construction managers, sub-contractors, architects and engineers, sureties, vendors, and suppliers in regards to litigation, arbitration, and contract negotiation.
Tax: Porter Hedges’ tax group regularly assists public and private enterprises with the federal, state and international tax aspects of acquisitions, dispositions, restructurings and financings of corporate and partnership ventures.
Intellectual property: The firm’s team advises on portfolio preparation and management; freedom-to-operate, invalidity and non-infringement opinion work; transactional matters, including licensing and due diligence support; and patent, trademark and trade secret litigation.
Real estate: Porter Hedges represents developers, investors, lenders, owners, and tenants on projects, including pre-development planning and financing, entity selection and structure, acquisitions and sales of improved and unimproved properties, construction contracts, commercial leases, and operating agreements.
