Sarah is a Senior Associate in the financial institutions group and was featured as an “Associate to watch” in the 2015 Chambers UK directory.
She has broad experience in advising clients within the financial services sector including pension funds, investment companies, funds, institutional investors, payment service providers, alternative investment managers, portfolio managers and administrators of funds on fund launches, relationships with service providers, investments, regulatory compliance and derivatives usage.
Sarah advises on investment company launches, mergers, reorganisations and liquidations and equity security issues. Outside the investment company space, she also advises on fund formation via various structures including limited partnership and unit trust.
Sarah regularly reviews and advises on alternative investment fund management agreements, portfolio management agreements, investment advisory agreements, depositary agreements and other asset management related contracts and provides general corporate and regulatory advice to financial services clients, with a particular focus on the application of financial promotion rules to funds and investment managers and also the Alternative Investment Fund Managers Directive, advising funds and investment managers on the impact that AIFMD has on their business, conducting gap analyses and amending documentation to be AIFMD compliant.
She is experienced in advising institutional investors on their investments into alternative investment funds, having reviewed and negotiated fund documentation including limited partnership agreements, prospectus', subscription agreements and side letters for numerous funds established in the UK, the US, Australia, Cayman, the Channel Islands and Ireland. When advising on such transactions, Sarah may often be involved in project managing advice required from overseas counsel, where required.
