Jack is the managing partner of the shanghai office. He specialises in cross-border mergers and acquisitions, china-related investments, employment law, general commercial law, private equity, capital equity market, corporate restructuring and general corporate advisory. He has worked on matters across a range of industries including chemical, diversified industries, pharmaceutical, medical devices, consumer, education, real estate and energy & resources. His recent experience includes: advising the subsidiary of a ftse 100 uk based company on the acquisition of a chinese medical devices manufacturing company. Jack acts as lead counsel on this transaction and is involved in all aspects of the acquisition and acquisition documents; advising a global leading veterinary pharmaceutical company on the acquisition of the remaining equity interest (49%) in a hong kong joint venture established with a taiwanese partner; advising a global leading veterinary pharmaceutical company’s proposed formation of a jv company in china with a chinese listed company where both parties are planning to contributing their respective key businesses in china into the jv; advising the 50% parent of a company ranked among the five largest primary aluminium producers in the world on a major corporate restructuring involving the equity interest in the chinese jv as well as continuing corporate and financing advice; advising a market leading uk based international group on a strategic transaction in relation to their development in china. The transaction covers all stages of a the client’s plans to purchase land, construct and fit out a new factory, transfer employees and operate the facility; continuously supported and advised the most valued chemical company in the world on their prc transactions, including projects work and general corporate support for their prc entities; carrying out a comprehensive hr audit in china for an aim listed multination producer and marketer of high quality protein research tools; providing ongoing specific and general advice on all employment issues for a nasdaq listed market leader manufacturer in the aircraft industry; and advising an international retailer on the departure of a member of the company’s local senior management.
