Brian Bloom is an executive compensation and benefits attorney who advises clients on the design, administration and tax aspects of their executive compensation and general employee benefit programs. This includes qualified and nonqualified plans, equity-based and other incentive programs, and a variety of other compensatory arrangements. Brian’s practice also encompasses the executive compensation and benefit aspects of business acquisitions, divestitures, mergers and spin-offs, including transitional matters, parachute arrangements, plan asset and liability transfers and related issues.
With more than 25 years of experience, Brian has represented publicly traded and privately held companies and tax-exempt employers across a wide array of industries including energy, manufacturing, airline, and health care. He has represented clients before the Internal Revenue Service and the Department of Labor, and has extensive experience handling fiduciary and prohibited transaction matters. Brian has also worked on significant investment fund transactions, both to attract funds from ERISA-covered investors and to assist benefit plans desiring to participate in such funds.
