Tyler concentrates his practice in the areas of executive compensation and employee benefit arrangements. He advises private and publicly-traded clients on executive contracts and equity incentive arrangements (including their related issues of tax, accounting, proxy and governance rules), incentive compensation arrangements within M&A deals (including equity plans, stay bonuses, change-in-control bonuses and 280G calculations), and ESOP transactions.
