Career

Mr. Fitzpatrick has extensive experience representing issuers and underwriters in capital markets transactions, principally in the power and utility sector. Over the past 25 years, Mike has represented underwriters, structuring advisors and electric and natural gas utilities in connection with utility rate reduction securitization bond structures and securities offerings. In addition, he has extensive experience advising underwriters and issuers on a broad range of securities transactions including public and privately placed offerings of equity, first mortgage bonds, various debt/equity hybrid instruments, subordinated and convertible debt, collateral trust bonds, multi-modal tax-exempt bonds and euro denominated bonds. Mike also advises companies on general corporate and securities law matters, including continuing advice regarding compliance with the Sarbanes-Oxley Act and aspects of corporate governance.
