Drafting and negotiation of international and domestic agreements such as Stock Purchase Agreements, Joint Ventures, Real Estate Purchase Agreements, Construction Agreements, Operating Agreements, MOUs, NDA’s, among others, for a vast variety of clients. Drafting of legal opinions on different legal issues related to the jurisdiction of the Republic of Panama. Advises various NGOs in their day-to-day businesses, including incorporation, registration, and daily operations. Advises companies on a broad range of commercial transactions, including domestic and cross-border financing transactions, securitization, structuring funds and investment companies, mergers and acquisitions as well as providing legal corporate advice to clients in their day-to-day business dealings. Legal advice on estate planning. Oversaw acquisition and merger of one of the largest electronic companies in the Republic of Panama. Set up compliance structure for multiple companies. Served as part of international team of lawyers working on a cross boarder governmental debt restructuring.
