Career

Alberto de Orleans e Bragança is a partner of the firm. Mr. Bragança joined Veirano in 2013. He has extensive expertise advising clients on corporate law, mergers and acquisitions and infrastructure issues with exceptional industry knowledge in banking, finance, pharmaceutical, telecom, energy and other related areas following his extensive experience in M&A transactions involving companies in those areas.

Mr. Bragança began his legal career working in a large Brazilian trading company where he developed an expertise in all matters of commercial laws and international trade. Thereafter, he joined the law firm of Castro Barros Sobral Xavier Advogados and was a resident at Norton Rose in London.

During his years of practice, Mr. Bragança was in the forefront of some of the most important transactions in the Brazilian market which included the privatization of the steel and chemical sector, the privatization of Vale, the privatization of the telecom sector in Brazil and the acquisition of several telecom companies in representation of, among others, América Móvil de C.V., company controlled by the Mexican millionaire Carlos Slim, holding, in Brazil, of Grupo Claro. Mr. Bragança was also the lead counsel for several acquisitions conducted by Banco Bradesco in Brazil (which included the acquisition of Banco Mercantil de São Paulo, BBVA, Banco Zogbi, BMC, the whole business of American Express in Brazil and top brokerage Ágora Corretora), and in some operations abroad. He has participated in several portfolio acquisitions and structuring of partnerships in the areas of credit cards and others, in particular for the Bradesco Group. He also advised Bradesco and, subsequently, Bradespar in the operations that involved the restructuring of the Vale Group, including the entry of Mitsui into the company's capital.

Representing América Móvil, he was responsible for the entire structuring of Grupo Claro in Brazil, including the acquisitions of several carriers (ATL, Tess, BCP, BSE, Net, Embratel, Primsasys and others). In addition to representing the group, he has been a member of its Board of Directors since 2005, currently part of the holding Claro Participações S.A. Throughout the years, Alberto specialized in corporate, mergers and acquisitions, with relevant experience in finance, technology, energy and arbitration. Most recently, he worked in two of the largest M&A operations in Brazil, including the acquisition of Nova Transportadora do Sudeste (""NTS"") by a group of Canadian funds and in the acquisition of CPFL Energias S.A., by State Grid.

Alberto has attended numerous conferences in Brazil and abroad as a speaker, being recognized as one of the leading lawyers in Brazil in the field of M&A by top international legal directories (Chambers and Partners, Latin Lawyer etc.).

Alongside his attorney career and as a result of his vast experience in the corporate area, Alberto is often requested to advise on internal strategic matters of the companies for which he provides legal assistance, notably his intense assistance to Claro as a member of the Embratel Board of Directors and, later, of Claro Participações.
