Barry Rutcofsky is a former executive and in-house legal advisor to a publicly-traded multi-national $1 billion+ dollar revenue/$1 billion+ market capitalization developer, distributor and publisher of entertainment software who offers clients the unique perspective of a lawyer whose multi-faceted career has involved in-house and outside counsel roles. He focuses his practice on corporate law, mergers and acquisitions, licensing and general matters, drawing upon experience with a wide variety of commercial transactions, including mergers and acquisitions, joint ventures, asset and stock sales, capital formation, credit agreements, licensing, venture capital and all types of contracts (such as employment agreements, shareholder agreements, operating agreements and manufacturing and distribution agreements). He has completed more than 50 acquisitions and negotiated licenses with major sports leagues and players associations, movie studios and celebrity talent. In addition, he has assisted in the design and implementation of corporate governance and regulatory compliance (Sarbanes-Oxley) initiatives as well as conducting and overseeing internal investigations.
